Wolf Tank Competition
Terms and Conditions
(A) These Terms and Conditions (Terms) govern entry into and participation in the "Wolf Tank Competition" (Competition) conducted by WolfX App Pty Ltd ACN 694 194 655, trading as WolfX, of Level 10, 369 Royal Parade, Parkville, VIC 3052 (Promoter, we, us, our). By submitting an Application, you (Entrant) agree to be bound by these Terms.
(B) The Promoter operates an application known as WolfX mobile application designed for university students for personal development, supporting side hustles, producing podcasts and student ride sharing (the App). Information about the Promoter and the App is available at www.wolfxapp.com.
(C) The Promoter recommends that the Entrant prints or saves a copy of these Terms for their records.
1. DEFINITIONS AND INTERPRETATION
Definitions
(a) In these Terms, unless the context requires otherwise:

| Application Period | means the period during which Applications may be submitted, as specified in Item 1 of Schedule 1. |
| Social Media Entry | means any publicly accessible post, reel, video, image, carousel, or document made available on a social media platform (including but not limited to Instagram, TikTok, LinkedIn, YouTube, Facebook, or X/Twitter) by the Entrant during the Application Period, describing the Venture, a publicly accessible link to which is submitted as part of the Application. The Social Media Entry is not limited to video content and may include static posts, carousels, slide decks linked or shared on a social media platform, or any other publicly accessible social media content. |
| Competition | means the "Wolf Tank Competition" conducted on these Terms. |
| Entrant | means a Paid Subscriber who submits an Application in accordance with these Terms. Where two or more Paid Subscribers jointly submit an Application as a co-entry in accordance with clause 4(b), each of them is an Entrant and each is individually bound by these Terms. Any person who attends an Event, assists, or accompanies an Entrant without themselves being named as an Entrant in an Application is not an Entrant for the purposes of these Terms and has no legal relationship with the Promoter under these Terms. |

| Finalist | means an Entrant who has been selected in accordance with clause 4(g) and has confirmed their attendance at the relevant Event. |
| Judging Criteria | means the criteria against which Live Pitches are assessed, as set out in clause 7 and Item 7 of Schedule 1. |
| Judging Panel | means the panel of persons appointed by the Promoter to assess Entries in accordance with clause 7. |
| Live Pitch | means the live oral presentation delivered in person by a Finalist to the Judging Panel at an Event, of no more than the duration specified in Item 3 of Schedule 1. |
| Paid Subscriber | means a person who, as at the relevant date, holds a current, valid and active, paid subscription to the App, and whose subscription is not in arrears, suspended, terminated, or cancelled. |
| Personal Information | has the meaning given in the Privacy Act 1988 (Cth). |
| Prize | has the meaning given in clause 8. |
| Privacy Policy | means the Promoter's privacy policy, available at www.wolfxapp.com/legal/privacy, as updated from time to time. |
| Venture | means the side hustle, business, project or venture described in the Entrant's Application, for which the Prize will be used. |
| Website | means www.wolfxapp.com. |
| Winner | means a Finalist awarded a 1st Place Prize, 2nd Place Prize, 3rd Place Prize, or People's Choice Award in accordance with these Terms. |
Interpretation
(b) In these Terms, unless the context requires otherwise:
(i) headings are for convenience only and do not affect interpretation;
(ii) words importing the singular include the plural and vice versa;
(iii) a reference to a person includes a natural person, body corporate, partnership, trust, association, and any other legal entity;
(iv) a reference to legislation includes any amendment, re-enactment, or replacement of that legislation;
(v) a reference to a dollar amount or $ is to Australian dollars;
(vi) a reference to time is to time in Melbourne, Victoria (being Australian Eastern Standard Time or Australian Eastern Daylight Time, as applicable); and
(vii) a reference to "including" or "such as" is not a word of limitation.
2. NATURE OF THE COMPETITION
(a) The Competition is a game of skill. Chance plays no part in determining the Winners.
(b) The Competition operates in two stages: an Application stage in which Finalists are selected; and a live pitch Event stage in which Finalists deliver Live Pitches and Winners are determined. Only Finalists selected at the conclusion of the Application stage are eligible to participate in the live pitch Event stage.
(c) Each Finalist's Live Pitch will be assessed by the Judging Panel against the Judging Criteria set out in Item 7 of Schedule 1, at the Event in the Finalist's nominated Event City. The skill of the Finalists in addressing the Judging Criteria is the sole basis on which Winners are selected.
(d) Where two or more Finalists are assessed as equally meritorious against the Judging Criteria, the Judging Panel will determine the relevant Winner by further assessment of those Finalists against the Judging Criteria, with the same skill-based criteria applied. No element of chance (including any random draw) will be used to determine a Winner or to break a tie.
(e) Audience participation at an Event (including applause, questions, live polling, or any other form of audience engagement) is for atmosphere and entertainment purposes only. It does not form part of, and has no bearing whatsoever on, the Judging Panel's assessment of any Live Pitch or its determination of any Winner.
3. ELIGIBILITY
(a) Subject to this clause 3, entry into the Competition is open to natural persons who, at the time of entry and at the time the Prize is awarded:
(i) are aged 18 years or over;
(ii) are residents of Australia;
(iii) are currently enrolled as a student at an Australian university or other recognised tertiary educational institution located in Australia; and
(iv) satisfy any additional eligibility requirements set out in clause 4.
(b) The following persons are not eligible to enter the Competition:
(i) directors, officers and employees of the Promoter and of its related bodies corporate (as that term is defined in the Corporations Act 2001 (Cth));
(ii) immediate family members (being a spouse, de facto partner, parent, child, sibling or person residing in the same household) of any person referred to in clause 3(b)(i); and
(iii) any agency, supplier, judge or third party engaged in connection with the conduct of the Competition and their immediate family members.
(c) The Promoter may require an Entrant to provide evidence of their identity, age, residency, enrolment status, subscription status or compliance with any other condition of these Terms. If the Entrant does not provide that evidence to the Promoter's reasonable satisfaction within the time required (which will not be less than 5 business days), the Promoter may, in its reasonable discretion, disqualify the Entrant and forfeit any entitlement to a Prize.
(d) If an Entrant under the age of 18 enters the Competition in breach of clause 3(a)(i), the Promoter may disqualify the Entrant and the Promoter is not liable for any loss or damage suffered by that Entrant or any other person in connection with the Application.
(e) The Promoter may, in its reasonable discretion, disqualify any Entrant whom the Promoter reasonably believes has breached or attempted to breach, these Terms.
4. HOW TO ENTER
(a) Additional eligibility. In addition to the eligibility requirements in clause 3, each Entrant must, from the date of submitting an Application through to the date the Prize is paid:
(i) be currently enrolled as a student at an Australian university or other recognised tertiary educational institution located in Australia and provide evidence of that enrolment in a form reasonably acceptable to the Promoter (including a certified true copy of a current student identification card, enrolment confirmation letter and/or academic transcript);
(ii) be a current Paid Subscriber (at the Gold or Platinum subscription tier) and remain a Paid Subscriber continuously from the date of submitting an Application through to the date the Prize is paid;
(iii) be developing, operating or proposing to operate a Venture for which the Prize will be used; and
(b) Co-entry is permitted between Paid Subscribers only. Where two or more Paid Subscribers wish to enter jointly as co-entrants, each co-entrant must themselves be a current Paid Subscriber at the Gold or Platinum tier and must each satisfy all of the eligibility requirements in clauses 3(a) and 4(a)(i)-(iii). Each co-entrant is individually bound by these Terms as an Entrant. Any person who is not themselves a Paid Subscriber and who assists, accompanies, or supports an Entrant but is not named as an Entrant in the Application is not an Entrant and has no legal relationship with the Promoter under these Terms.
(c) Forfeiture. Where, at any time between the date of submitting the Application and the date the Prize is paid, any Entrant:
(i) ceases to be a Paid Subscriber (including by reason of cancellation, non-payment, suspension or termination of the subscription, irrespective of whether by the Entrant or us);
(ii) ceases to be enrolled as a student; or
(iii) ceases to be developing, operating or proposing to operate the Venture,
(d) the Entrant (and any co-entrants named in the Application) becomes ineligible and forfeits any entitlement to the Prize. The Promoter may, in that event, select a replacement Winner in accordance with clause 7(e).
(e) Application Period. The Application Period commences and closes at the times and on the dates specified in Item 1 of Schedule 1. Applications received outside the Application Period will not be considered or accepted.
(f) Stage 1 — Application. To submit an Application, the Entrant must, during the Application Period:
(i) access the Application form available on the Website;
(ii) provide their full name, email address, and social media handle; and, where the Application is a co-entry, the email address for each co-entrant; and
(iii) submit a link to their Social Media Entry via the Application form.
A current paid (Gold or Platinum) WolfX subscription is required to submit an Application. The Social Media Entry must remain publicly accessible and the Entrant's account must remain public from the date of submission through to at least the date of Finalist notification in accordance with clause 4(g). The Promoter is not responsible for any Application that cannot be reviewed because the Social Media Entry link is inaccessible, the content has been removed, or the account has been made private, and such Applications may not be considered.
(g) Stage 2 — Finalist selection and confirmation. Following the close of the Application Period, the Promoter will review Applications and select up to eight (8) Finalists per Event City, having regard to the Judging Criteria in Item 7 of Schedule 1, applied to the Social Media Entry. Selection is at the Promoter's sole discretion. Selected Finalists will be notified and must confirm their attendance at the relevant Event within 5 business days of notification. If a notified Finalist does not confirm within that period, or confirms that they are unable to attend, the Promoter may, at its discretion, notify the next-ranked Entrant and offer them a Finalist place. The Promoter will continue this process until up to eight (8) Finalists per Event City have been confirmed, or no further eligible Applicants remain. The Promoter will not enter into correspondence about selection outcomes.
(h) Only one Application as a primary Entrant or as a co-entrant is permitted. Where the Promoter reasonably believes that an Entrant has submitted or been named in more than one Application (including via multiple email addresses, accounts, or devices), the Promoter may disqualify all Applications from that Entrant.
(i) An Application is deemed to be received only when received by the Promoter at its servers. The Promoter is not responsible for any Application that is lost, late, misdirected, incomplete, illegible, corrupted, delayed or not received for any reason, including any technical or communications failure.
(j) Live Pitch attendance. Each Finalist must attend the Event in their nominated Event City on the date of the relevant Event and personally deliver a Live Pitch to the Judging Panel. No substitute or proxy presenter is permitted. A Finalist who does not attend the Event, or who does not personally deliver a Live Pitch, will be disqualified from the Competition and will forfeit any entitlement to a Prize, and clause 7(e) applies. Each Finalist must bring their own slide deck to the Event on a device or storage medium compatible with the Event's audio-visual equipment. The Promoter is not responsible for any failure of a Finalist's slide deck to display, open, or play correctly at an Event, and a Finalist's Live Pitch may proceed without a slide deck if it cannot be used for any reason.
(k) Travel and accommodation. Each Finalist is solely responsible for their own travel, accommodation, and any other costs of attending an Event. These costs do not form part of, and will not be reimbursed as part of, the Prize.
(l) Event conduct. By attending an Event, each Finalist (and any person accompanying them) must comply with all reasonable directions of the Promoter and the venue operator, and with all applicable venue rules and laws. The Promoter may refuse entry to, or remove from an Event, any person who, in the Promoter's reasonable opinion, is behaving in a disruptive, offensive, or unsafe manner, without liability to that person except to the extent liability cannot be excluded by law.
(m) Recording consent. The Promoter (and its authorised representatives) may photograph, film, livestream, or otherwise record an Event, including each Finalist's Live Pitch. By attending an Event and delivering a Live Pitch, each Finalist consents to being photographed, filmed, and recorded at the Event and to the Promoter's use of that material in accordance with clause 9(b), including professional, commercial, and broadcast use (including television broadcast) authorised by the Promoter. By entering the Competition, each Entrant unconditionally consents to the use of their likeness, image, voice, name, and performance in any footage or material captured in connection with the Competition, including broadcast on television or online platforms, without the need for any separate consent form, release, talent agreement, or appearance fee. No influencer, talent, or commercial appearance terms apply to the Promoter's use of footage captured at an Event. The Finalist's Live Pitch, any slide deck, and any recording of the Finalist's attendance or performance at an Event each form part of the Finalist's entry for the purposes of these Terms.
(n) Assumption of risk and release. Each Finalist attends an Event, and travels to and from an Event, at their own risk. To the maximum extent permitted by law, and subject always to clause 12(a), each Finalist releases the Promoter Parties from all claims, demands, actions, costs, and expenses arising out of, or in connection with, their attendance at, or travel to or from, an Event, except to the extent caused by the fraud, wilful misconduct, or negligence of a Promoter Party.
(o) Event cancellation or postponement. If an Event is cancelled, postponed, or relocated for any reason, the Promoter will notify affected Finalists by email as soon as reasonably practicable, and may exercise its rights under clause 11(a) (including to vary, suspend, postpone, or terminate the Competition). The Promoter is not liable for any loss or expense incurred by any Finalist in connection with travel, accommodation, or other arrangements made in anticipation of attending an Event, subject always to clause 12(a).
(p) The Social Media Entry and any slide deck must each be the original work of the Entrant, must address the Venture described in the Application, and must not:
(i) contain content that is defamatory, obscene, offensive, threatening, harassing, discriminatory or unlawful;
(ii) infringe any intellectual property right, moral right, privacy right or any other right of any third party;
(iii) include in the Social Media Entry any music, audio, image, or other third-party content for which the Entrant does not hold the rights necessary to allow the Promoter to re-post or re-share the content in accordance with clause 9(b), including any audio or music licensed for in-platform use only on a social media platform; or
(iv) be submitted using any automated, robotic, scripted, or programmatic means.
(q) Where the Social Media Entry or slide deck includes the image, likeness, voice, name or identifying information of any person other than the Entrant (including customers, testimonial providers, or business partners), the Entrant must obtain that person's prior written consent to the inclusion of that material and to its use by the Promoter in accordance with clause 9(b) and must provide a copy of that consent to the Promoter on request.
(r) The Promoter may, in its reasonable discretion, request further information, evidence, or interview the Entrant (whether in person, by telephone or by video conference) to verify any aspect of the Social Media Entry or slide deck, whether before or at an Event. The Entrant's failure to respond to such a request within the time required (which will not be less than 5 business days, or, for a request made at an Event, within a reasonable time specified by the Promoter) may result in disqualification.
5. COMPETITION AGREEMENT AND CONDITIONS OF PAYMENT
(a) Before the Prize is paid to the Winner, the Winner must enter into a written agreement with the Promoter (Competition Agreement). Where an Application was submitted on behalf of a team with co-entrants, the Competition Agreement will be executed by the Winner on behalf of all Entrants named in that Application, and is binding on each of them. The Competition Agreement may set out, amongst others:
(i) the Winner's warranties as to its eligibility and the use of the Prize funds, which shall be consistent with the Venture described in the Winner's Application;
(ii) any milestones, reporting requirements or acquittal requirements;
(iii) the Winner's acknowledgement that the Prize is not a loan, investment or equity contribution, and that the Promoter is not acquiring any interest in the Venture;
(iv) permitted promotional uses of the Winner's name, likeness and Venture in connection with the Competition; and
(v) the Promoter's right to claw back or recover all or part of the Prize in the circumstances set out in clause 5(e).
(b) The Winner must execute and return the Competition Agreement to the Promoter within 14 days of the date the Promoter provides it to the Winner. If the Winner does not execute and return the Competition Agreement within that period, the Promoter may, in its reasonable discretion, treat the Winner as having forfeited the Prize and clause 7(e) applies.
(c) The Prize will be paid by electronic funds transfer to a bank account nominated by the Winner in writing. The Promoter will request bank account details from the Winner when confirming their selection as a Finalist. Where the Winner operates the Venture through a legal entity, the Prize may be paid to a bank account in the name of that entity.
Where the winning Application is a co-entry, the Prize will be divided equally among all Entrants named in the winning Application and paid separately to each co-entrant by default (for example, where two co-entrants win a 1st Place Prize of AUD$2,750, each receives AUD$1,375). If all co-entrants wish to arrange an alternative payment — including payment of the full Prize into a single account, payment to a business entity, or payment in unequal proportions — all co-entrants must sign a written payment authorisation confirming the alternative arrangement before the Promoter will effect the alternative payment. The Promoter will pay in accordance with the instructions in a valid signed payment authorisation and is not liable for any payment made in reliance on it. A co-entrant who signs a valid payment authorisation cannot subsequently dispute the payment made by the Promoter in accordance with it.
(d) The Winner must use the Prize funds solely for the purposes set out in the Competition Agreement, and consistent with the Venture described in the Winner's Application. The Winner must not use the Prize funds for any unlawful purpose, for personal living expenses unrelated to the Venture, or for any purpose materially different from the Venture described in the Application, without the prior written consent of the Promoter.
(e) The Promoter may, by written notice to the Winner, require the Winner to repay all or part of the Prize within 30 days where the Promoter reasonably believes that the Winner has:
(i) provided false, misleading or materially incomplete information in their Social Media Entry, slide deck, Live Pitch, or in connection with the Competition Agreement;
(ii) used the Prize funds for a purpose other than that set out in the Competition Agreement;
(iii) breached the Competition Agreement or these Terms; or
(iv) engaged in conduct that brings, or is reasonably likely to bring, the Promoter, the App, or the Competition into disrepute.
(f) The Winner is solely responsible for the conduct of the Venture, including obtaining any registrations, licences, permits, insurances, and approvals required by law, and complying with all applicable laws (including taxation laws). The Promoter is not a partner, joint venturer, agent, employer, or fiduciary of the Winner, and does not endorse, sponsor, or guarantee the Venture.
6. NUMBER OF WINNERS
(a) The number of Winners per Event City is four (4): one (1) 1st Place Winner, one (1) 2nd Place Winner, one (1) 3rd Place Winner, and one (1) People's Choice Award Winner. The total number of Winners across both Event Cities is eight (8).
(b) The Promoter will determine Winners for each Event City independently by reference only to the Finalists who delivered a Live Pitch at that Event City.
(c) Where fewer than three Finalists deliver a Live Pitch at an Event City, or where the Judging Panel reasonably determines that fewer Live Pitches than the number of prizes meet a sufficient standard against the Judging Criteria, the Promoter may, in its reasonable discretion, award fewer Prizes than the number of prizes for that Event City.
7. JUDGING
(a) Each Finalist's Live Pitch, together with their slide deck, will be assessed by the Judging Panel on its merits against the Judging Criteria set out in Item 7 of Schedule 1, at the Event in the Finalist's nominated Event City.
(b) The Judging Panel for each Event will comprise at least two (2) representatives of the Promoter and such other persons as the Promoter appoints in its absolute discretion, including any independent judges with relevant business, entrepreneurial, or educational expertise. The Promoter may appoint, remove, or substitute any judge at any time, including on the date of the Event, and the Judging Panel may differ between Event Cities.
(c) Judging will take place at the Event venue in the relevant Event City immediately following the conclusion of all Live Pitches delivered at that Event, with each Finalist allocated a pitch slot of 3-4 minutes plus 2 minutes of questions (Judging Date).
(d) The decision of the Judging Panel is final. The Promoter will not enter into any correspondence about the Judging Panel's decision.
(e) If a Winner:
(i) cannot be contacted within 14 days of the Judging Date;
(ii) does not respond to the Promoter's notification within 14 days of the date the notification is sent;
(iii) is found to be ineligible or in breach of these Terms;
(iv) does not execute and return the Competition Agreement within the period required by clause 5(b); or
(v) any Entrant named in the Winner's Application ceases to be a Paid Subscriber, or ceases to be an enrolled student, before the Prize is paid,
(f) the Promoter may, in its reasonable discretion, forfeit that Winner's entitlement to the Prize and select a replacement Winner from the remaining valid Finalists by reference to the same Judging Criteria.
(g) The Promoter will award a People's Choice Award of AUD$250 per Event City, which is a Prize for the purposes of these Terms and is subject to the Competition Agreement on the same basis as the main Competition prizes. The People's Choice Award winner per Event City will be the Finalist with the highest combined score, determined as follows:
(i) 60% — the Finalist's score against the Judging Criteria in Item 7 of Schedule 1, as assessed by the Judging Panel using the same scores generated in determining the main Competition prizes; and
(ii) 40% — the proportion of votes received by that Finalist relative to all Finalists at the relevant Event City, cast via anonymous electronic form distributed to all non-Finalist attendees at the Event.
(iii) Finalists may not vote. Each eligible attendee may cast one vote only. The Promoter reserves the right to disregard any votes that appear to be fraudulent or otherwise manipulated, and the Promoter's determination of the People's Choice Award winner is final. Where the Finalist with the highest combined People's Choice score has also been awarded a main Competition prize (1st, 2nd, or 3rd Place), the People's Choice Award passes to the Finalist with the next highest combined score who has not been awarded a main Competition prize. If all eligible Finalists have been awarded main Competition prizes, the Promoter may at its discretion award the People's Choice Award to any Finalist.
8. PRIZE AND NOTIFICATION
(a) The prizes awarded per Event City by the Judging Panel are as follows (each a Prize):
(i) 1st Place Prize: AUD$2,750;
(ii) 2nd Place Prize: AUD$1,250; and
(iii) 3rd Place Prize: AUD$750.
(iv) People's Choice Award: AUD$250.
(b) The total Prize pool per Event City is AUD$5,000 (comprising AUD$4,750 in main Competition prizes and AUD$250 People's Choice Award). The total Prize pool across both Event Cities is AUD$10,000.
(c) The Prize will be paid in accordance with clause 5(c), after the Winner has executed and returned the Competition Agreement in accordance with clause 5(b) and provided the bank account details as requested by the Promoter.
(d) The Promoter will announce the Winners for each Event City at the conclusion of the relevant Event, and will additionally confirm the outcome to each Winner by email and/or telephone, using the contact details provided in the Application, within 10 business days of the Judging Date.
(e) The Promoter will publish the first name, last initial, and state or territory of residence, and (with the Winner's prior consent) the name and brief description of the Winner's Venture, on the Website and/or the Promoter's social media channels within 14 days of the Judging Date.
(f) The Winner may, as a condition of receiving the Prize, be required by the Promoter to:
(i) participate in promotional activities (including interviews, photography, video content, social media features, and case studies) for the Promoter's marketing and promotional purposes;
(ii) provide a brief written or video update on the use of the Prize funds and the progress of the Venture within 6 months and within 12 months of receipt of the Prize; and
(iii) act in accordance with reasonable directions of the Promoter in connection with the promotional activities referred to in clause 8(f)(i).
(g) The Prize must be accepted as awarded and is not transferable or assignable.
(h) Any tax (including income tax) payable by the Winner in connection with the receipt or use of the Prize is the sole responsibility of the Winner. The Promoter recommends that the Winner obtain independent professional advice in relation to the tax treatment of the Prize, including in relation to any allocation of Prize funds among co-founders named in the Application.
(i) The Promoter is not responsible for any loss, damage, cost, expense, or injury suffered by the Winner or any other person in connection with the acceptance, use, or application of the Prize, or the conduct of the Venture, subject always to clause 12(a).
9. INTELLECTUAL PROPERTY AND LICENCE
(a) Subject to clause 9(b), the Entrant retains ownership of all intellectual property rights subsisting in their Social Media Entry and slide deck.
(b) The Entrant grants the Promoter a non-exclusive, royalty-free licence to re-post and re-share the Social Media Entry on the Promoter's own social media accounts and stories for the purpose of promoting the Competition. The Promoter will not download, reproduce, broadcast, or include the Social Media Entry in its own videos or other promotional materials without the Entrant's prior written consent. For the avoidance of doubt, the Promoter's rights in footage recorded at an Event (including Live Pitch recordings and slide deck content) are governed by clause 4(m).
(c) The Entrant warrants and represents that:
(i) the Social Media Entry and slide deck are the original work of the Entrant and have not been copied (in whole or in part) from any other source;
(ii) the Entrant has all rights, consents, and authorisations necessary to grant the licence in clause 9(b);
(iii) the use of the Social Media Entry and slide deck by the Promoter as contemplated by these Terms (including the limited re-post and re-share licence in clause 9(b)) will not infringe any intellectual property rights, moral rights, privacy rights, or any other rights of any third party;
(iv) the Social Media Entry and slide deck do not contain any defamatory, obscene, offensive, threatening, harassing, discriminatory, or unlawful content; and
(v) where the Social Media Entry or slide deck includes the image, likeness, voice, name, or identifying information of any person other than the Entrant, the Entrant has obtained that person's prior written consent to the inclusion of that material and to the Promoter's use of it in accordance with clause 9(b).
(d) The Entrant unconditionally and irrevocably consents, to the extent permitted by law, to any act or omission by the Promoter (or any person authorised by the Promoter) that would otherwise infringe the Entrant's moral rights in the Social Media Entry and slide deck, including the rights of attribution and integrity of authorship.
(e) The Entrant indemnifies the Promoter and its related bodies corporate, and their respective officers, employees, contractors, and agents, against all loss, damage, cost, expense, and liability (including reasonable legal costs) suffered or incurred by them arising out of, or in connection with, a breach of any warranty in clause 9(c).
10. PRIVACY
(a) The Promoter collects Personal Information from Entrants for the purposes of conducting the Competition, including verifying eligibility, assessing Applications, contacting Entrants, awarding the Prize, complying with applicable laws, and (where the Entrant has consented) for the Promoter's marketing and promotional activities. This includes Personal Information collected at registration and at an Event, including photographs, audio, and video recordings of attendees made in accordance with clause 4(m).
(b) The Promoter may disclose Personal Information to its related bodies corporate, contractors, service providers, and professional advisers, and to government authorities and regulators where required or authorised by law. The Promoter does not generally disclose Personal Information to recipients located outside Australia. Where it does, it will take reasonable steps to ensure that the recipient handles the Personal Information in a manner consistent with the Australian Privacy Principles.
(c) The Promoter handles Personal Information in accordance with the Privacy Act 1988 (Cth) and the Privacy Policy. The Privacy Policy contains information about how an Entrant may access or correct their Personal Information, and how an Entrant may make a complaint about the handling of their Personal Information.
(d) By submitting an Application, the Entrant consents to:
(i) the collection, use, and disclosure of their Personal Information as described in this clause 10 and in the Privacy Policy;
(ii) the publication of the Winner's first name, last initial, and state or territory of residence on the Website and on the Promoter's social media channels in accordance with clause 8(e); and
(iii) the use of any images, video, audio, or written content provided by the Entrant (whether as part of the Application or otherwise in connection with the Competition) for the Promoter's promotional and marketing purposes, in accordance with the licence in clause 9(b).
(e) Where the Entrant elects to receive marketing communications from the Promoter, the Entrant may withdraw that consent at any time by following the unsubscribe instructions in any communication, or by contacting the Promoter at the email address in clause 14(g).
11. PROMOTER'S RIGHTS
(a) The Promoter may, subject to any direction or approval required by law, vary, suspend, postpone, or terminate the Competition at any time. The Promoter will give reasonable notice of any such variation, suspension, postponement, or termination on the Website or via the App.
(b) The Promoter may, in its reasonable discretion, disqualify any Application where the Promoter reasonably believes that the Entrant has:
(i) breached, or attempted to breach, these Terms;
(ii) tampered with, manipulated, or attempted to tamper with or manipulate, the entry process or the operation of the Competition;
(iii) used any automated, robotic, scripted, or programmatic method to submit Applications or to influence the outcome of the Competition;
(iv) engaged in conduct that is unlawful, fraudulent, deceptive, misleading, or otherwise improper; or
(v) engaged in conduct that brings, or is reasonably likely to bring, the Promoter, the App, or the Competition into disrepute.
(c) The Promoter's failure to enforce any of its rights under these Terms at any time does not constitute a waiver of those rights.
(d) Where the Promoter exercises any right under this clause 11, the Promoter is not liable to any Entrant or any other person for any loss, damage, cost, or expense arising out of, or in connection with, the exercise of that right, except to the extent that liability cannot be excluded by law.
12. LIABILITY AND RELEASE
(a) Nothing in these Terms excludes, restricts, or modifies any guarantee, right, or remedy conferred on the Entrant by the ACL or any other law that cannot lawfully be excluded, restricted, or modified.
(b) Subject to clause 12(a), and to the maximum extent permitted by law:
(i) the Promoter, its related bodies corporate, and their respective directors, officers, employees, contractors, agents, and judges (Promoter Parties) are not liable for any loss, damage, cost, or expense (whether direct, indirect, consequential, incidental, special, or otherwise, and including any loss of profit, revenue, business opportunity, goodwill, or data) suffered or incurred by any Entrant or any other person in connection with the Competition, an Application, the Prize, or these Terms;
(ii) the Promoter Parties are not liable for any Application that is lost, late, misdirected, incomplete, illegible, corrupted, delayed, or not received by the Promoter for any reason, including any technical or communications failure; and
(iii) the total aggregate liability of the Promoter Parties to any Entrant arising out of, or in connection with, the Competition is limited, at the Promoter's election, to (i) the value of the relevant Prize, or (ii) the resupply of the Prize.
(c) Each Entrant releases the Promoter Parties from all claims, demands, actions, suits, causes of action, damages, costs, and expenses (including legal costs) arising out of, or in connection with, the Competition, the Entrant's participation in the Competition, the acceptance or use of a Prize, or these Terms, except to the extent caused by the fraud, wilful misconduct, or negligence of a Promoter Party.
(d) The Promoter Parties are not liable for any personal injury, death, property damage, loss of profits, loss of opportunity, or any other loss or damage suffered by an Entrant or any other person in connection with the acceptance, use, or enjoyment of a Prize, except to the extent caused by the fraud, wilful misconduct, or negligence of a Promoter Party, and subject always to clause 12(a).
13. GOVERNING LAW AND DISPUTES
(a) These Terms are governed by and construed in accordance with the laws of Victoria, Australia.
(b) Each Entrant submits to the non-exclusive jurisdiction of the courts of Victoria and the courts of appeal from them.
14. GENERAL
(a) Severability. If any provision of these Terms is held to be invalid, illegal, or unenforceable, that provision is severed and the remainder of these Terms continues in full force and effect.
(b) Entire agreement. These Terms constitute the entire agreement between the Promoter and each Entrant in relation to the Competition, and supersede all prior representations, communications, understandings, and agreements (whether oral or in writing) in connection with the Competition.
(c) Variation. The Promoter may vary these Terms at any time by posting an updated version on the Website. The version of the Terms in force at the time the Entrant submits an Application applies to that Application.
(d) Notices. Any notice given by the Promoter to an Entrant under these Terms may be given by email to the email address provided by the Entrant in their Application, or by such other method as the Promoter reasonably determines.
(e) No agency or partnership. Nothing in these Terms creates any agency, partnership, joint venture, employment, or fiduciary relationship between the Promoter and any Entrant.
(f) Force majeure. Where the Promoter is prevented from, or delayed in, performing any of its obligations under these Terms (including conducting or completing the Competition, or awarding the Prize) by reason of any act, event, or circumstance beyond its reasonable control (including any natural disaster, fire, flood, storm, epidemic, pandemic, public health order, act of terrorism, civil unrest, war, strike, lockout, industrial action, communications or utility failure, cyber attack, or act of any government authority), the Promoter is not liable for that non-performance or delay, and the Promoter may (subject to any direction or approval required by law) vary, suspend, postpone, or terminate the Competition in accordance with clause 11(a).
