(A)These Terms and Conditions (Terms) govern entry into and participation in the Rush WOLFX competition conducted by WolfX USA Inc., a Delaware corporation with its principal place of business at 8605 Santa Monica Blvd PMB 139433 West Hollywood, California 90069-4109 (Promoter, we, us, our). By taking part in the Competition, you (the Entrant) agree to be bound by these Terms. Where a fraternity or sorority chapter takes part, “you” and “Entrant” refer to that chapter.
(B)The Promoter operates a website available at https://www.wolfxapp.com/usa (the Website), as well as the WolfX platform (the Platform), which is made available through a mobile application (the App, and collectively with the Website and Platform, the Services). Information about the Promoter and the Platform is available at the Website.
(C)The Promoter recommends that the Entrant prints or saves a copy of these Terms for their records.
1.Definitions and interpretation
1.1Definitions
In these Terms, unless the context requires otherwise:

Entry Period | means, with respect to each Round, the period during which Qualifying Subscriptions earn points for that Round, as set out in Item 4 of the Competition Schedule. |

Higher Education Institution | means a university, community college, or other higher education institution recognized by us from time to time. |

Personal Information | means information about an identified or reasonably identifiable individual, as further described in the Privacy Policy. |

Prize | means the prize made available in a Round, as set out in Item 8 of the Competition Schedule and clause 8. |

Privacy Policy | means the Promoter's privacy policy available at https://www.wolfxapp.com/usa/legal/privacy, as updated from time to time. |

Round | means each round of the Competition set out in Item 3 of the Competition Schedule. |

Winner | means the Entrant whose Entry is ranked first in a Round in accordance with these Terms. |
|---|
1.2Interpretation
In these Terms, unless the context requires otherwise:
(a)headings are for convenience only and do not affect interpretation;
(b)words importing the singular include the plural and vice versa;
(c)a reference to a person includes a natural person, body corporate, partnership, trust, association, and any other legal entity;
(d)a reference to legislation includes any amendment, re-enactment, or replacement of that legislation;
(e)a reference to a dollar amount or $ is to United States dollars;
(f)a reference to time is to time in the State of Arizona (Mountain Standard Time); and
(g)a reference to "including" or "such as" is not a word of limitation.
2.Nature of the Competition
(a)The Competition is a game of skill. Chance plays no part in determining any Winner, the ranking of any Entry, or the Prize awarded to any Winner.
(b)Each Entry will be ranked by the total points earned by the Entrant during the Entry Period for the relevant Round, calculated under clause 5. The skill and effort of the Entrant in promoting the Platform and generating Qualifying Subscriptions, as measured by its total points, is the sole basis on which Winners are selected.
(c)Where two or more Entries have the same total points, the Winner and the relative ranking of those Entries will be determined by applying the tie-breakers in clause 6(c), in order. No element of chance (including any random draw) will be used to determine a Winner or to break a tie.
(d)Each Round is a separate contest of skill, and Entries are assessed only against other Entries in the same Round.
(e)The number and value of Prizes in each Round are fixed as set out in the Competition Schedule and do not depend on the Promoter’s revenue or the number of Entries received.
(f)No Entrant, and no member of an Entrant, is required to purchase a subscription, or to pay any amount to the Promoter, to enter the Competition, and a subscription purchased or funded by an Entrant does not earn points (see clause 5(a)(iii)).
3.Eligibility
(a)Subject to this clause 3, entry into each Round is open to fraternity and sorority chapters that, at the time of entry into that Round and at the time any Prize is awarded:
(i)are officially recognized by, and registered as a student organization at, the university for that Round as set out in Item 3 of the Competition Schedule, and are members of a governing council of that university (such as an Interfraternity Council, Panhellenic Council, National Pan-Hellenic Council or Multicultural Greek Council); and
(ii)are in good standing with that university, their governing council and (where applicable) their national or international organization, and are not subject to any suspension, interim action, loss of recognition or other sanction that prevents them from recruiting or holding events.
(b)The person who claims a Prize on behalf of a Winner must, at the time the Prize is claimed:
(i)be aged 18 years or over;
(ii)be a resident of, and lawfully present in, the United States;
(iii)be currently enrolled as a student at the university for that Round; and
(iv)be the president of the Entrant, or another officer of the Entrant authorized by it to act on its behalf.
(c)The following persons are not eligible to enter the Competition:
(i)directors, officers and employees of the Promoter and of its parent, subsidiary, and affiliated entities;
(ii)immediate family members (being a spouse, de facto partner, parent, child, sibling, or person residing in the same household) of any person referred to in clause 3(c)(i); and
(iii)any agency, supplier, judge, or third party engaged in connection with the conduct of the Competition and their immediate family members.
(d)An Entrant is not eligible to take part in the Competition if any person referred to in clause 3(c) is a member of that Entrant, unless the Promoter agrees otherwise in writing before the Entry Period for the relevant Round opens.
(e)The Promoter may require an Entrant to provide evidence of their identity, recognition and good standing, the authority of any person acting on its behalf, the source of funds used to pay for any subscription, age, residency, enrollment status, subscription status or compliance with any other condition of these Terms. If the Entrant does not provide that evidence to the Promoter's reasonable satisfaction within the time required (which will not be less than 5 Business Days), the Promoter may, in its reasonable discretion, disqualify the Entrant and forfeit any entitlement to a Prize.
(f)If a person under the age of 18 claims a Prize in breach of clause 3(b)(i) the Promoter may refuse to pay the Prize until it is claimed by an eligible person, and the Promoter is not liable for any loss or damage suffered by that Entrant or any other person in connection with that claim.
(g)The Promoter may, in its reasonable discretion, disqualify any Entrant whom the Promoter reasonably believes has breached or attempted to breach, these Terms.
4.Participating chapters
(a)The Entry Period for each Round commences and closes at the times and on the dates set out in Item 4 of the Competition Schedule.
(b)Before the Entry Period for each Round commences, the Promoter will list on the Website each fraternity and sorority chapter at the university for that Round that has agreed with the Promoter to take part in that Round. Each listed chapter that meets the eligibility requirements in clause 3 takes part in that Round as an Entrant.
(c)A chapter that wishes to take part in a Round may request to be added by emailing admin@wolfxusa.com before the request deadline for that Round set out in Item 4 of the Competition Schedule. The Promoter will add each chapter that makes a request before that deadline and meets the eligibility requirements in clause 3. No chapter will be added to a Round after its request deadline, except under clause 4(d).
(d)If the Promoter fails to list a chapter that made a request before the request deadline and meets the eligibility requirements in clause 3, the Promoter will add that chapter as soon as practicable after being notified. That chapter earns points only for Qualifying Subscriptions made after it is added.
(e)A listed chapter may ask to be removed from the list at any time by emailing admin@wolfxusa.com. The Promoter will remove it as soon as practicable, and subscriptions attributed to it do not earn points for any Entrant.
(f)No purchase or payment of any kind is necessary to take part in the Competition or to earn points.
5.Points
(a)A subscription earns points for an Entrant only if it is a subscription to the Platform (a Qualifying Subscription) that:
(i)is purchased or activated during the Entry Period for the relevant Round through the sign-up process on the Website, where the subscriber selects the Entrant from the list of chapters at sign-up;
(ii)is held by a natural person aged 18 years or over who did not hold a paid subscription to the Platform at any time before the Entry Period for that Round opened;
(iii)is paid for by the subscriber from their own funds at the Promoter’s standard published price for that subscription tier, and is not purchased, funded, subsidized or reimbursed (in whole or in part) by the Entrant, from any chapter funds, or by any person other than the subscriber;
(iv)remains current and active, and has not been cancelled, refunded, charged back, suspended or terminated, as at 11:59pm on the Verification Date for that Round set out in Item 5 of the Competition Schedule; and
(v)is otherwise obtained in compliance with these Terms.
(b)Each Qualifying Subscription earns the number of points set out in Item 6 of the Competition Schedule for the subscription tier held by the subscriber as at the Verification Date.
(c)Each person can generate only one Qualifying Subscription in the Competition, attributed to the chapter they select at sign-up. If a person changes subscription tier during the Entry Period, only one Qualifying Subscription is counted, and it earns points for the subscription tier held as at the Verification Date.
(d)Points are not transferable between Entrants or Rounds and have no cash or other value.
(e)The Promoter will determine each Entrant’s total points using its subscription records, and its determination is final in the absence of manifest error.
(f)The Promoter may publish a leaderboard of Entrants’ points during the Entry Period. Any leaderboard is indicative only and is subject to verification under this clause 5.
6.Ranking and Winners
(a)The number of Winners for each Round is as per set out in Item 7 of the Competition Schedule (Number of Winners).
(b)After the Verification Date for each Round, the Promoter will rank all valid Entries in that Round in order of total points, from highest to lowest. The Entrant with the highest total points is the Winner of that Round.
(c)Where two or more Entries in a Round have the same total points, their ranking will be determined by applying the following tie-breakers in order:
(i)first, the Entry with the greater number of Qualifying Subscriptions ranks higher; and
(ii)second, if still tied, the Entry that reached the tied total points first, as recorded in the Promoter’s subscription records, ranks higher.
(d)The Promoter is not required to award a Prize where no valid Entry achieves total points of at least the Minimum Standard set out in Item 10 of the Competition Schedule.
(e)Where no Prize is awarded under this clause, the Prize is not payable to any person and no Entrant has any entitlement, claim, or expectation in respect of it.
(f)The Promoter’s determination of the ranking of Entries and the Winner is final and binding. No correspondence will be entered into regarding that determination or the conduct of the Competition, and the Promoter and its officers, employees and agents will not be liable to any entrant in connection with the ranking process or the outcome of the Competition.
(g)If a Winner does not respond to the Promoter's notification within 30 days of the date the notification is sent, fails to provide information that is necessary for the Promoter to provide the Prize, does not confirm its acceptance of these Terms under clause 8(e), or is found to be ineligible or in breach of these Terms, the Promoter may, in its reasonable discretion:
(i)forfeit the Winner's entitlement to the Prize; and
(ii)award the forfeited Prize to the eligible Entrant with the next highest-ranked Entry in that Round.
7.Entrant responsibilities and events
(a)Each Entrant shall ensure that each of its members (including new members and potential new members) comply with these Terms. The Entrant is responsible for their acts and omissions in connection with the Competition.
(b)The Entrant must not, and must ensure that its members do not:
(i)require, pressure or induce any person to purchase a subscription as a condition of, or in connection with, membership, recruitment, a bid, initiation or any event or activity, or engage in any conduct that constitutes hazing under the policies of the Entrant’s university or Applicable Law;
(ii)make any statement about the Platform, a subscription or the Competition that is false, misleading or deceptive;
(iii)promote the Competition without clearly and conspicuously disclosing that the Entrant is competing for a prize from the Promoter (for example, by including “#RushWOLFXContest” in any social media post);
(iv)use the name, logo, mascot or other trademarks of any university, or state or imply that a university or governing council endorses the Platform or the Competition;
(v)send unsolicited bulk messages, or use purchased or scraped contact lists, to promote the Competition; or
(vi)create or procure fake, duplicate or fraudulent accounts or subscriptions, or use any automated, robotic, scripted or programmatic means to generate subscriptions.
(c)The Promoter does not organize, host, supervise or control any recruitment event, party, gathering or other activity conducted by or on behalf of an Entrant or its members, whether or not in connection with the Competition. Every such event or activity is conducted solely by the Entrant, which is responsible for obtaining all permits, approvals and insurance, and for complying with Applicable Law and the rules of its university, governing council and national or international organization.
(d)The Promoter does not supply, provide, serve, fund or facilitate alcohol at any event or activity referred to in clause 7(c). No part of the Prize, and no other amount or item provided by the Promoter, may be used to purchase or serve alcohol.
(e)Members of an Entrant are not employees, agents or contractors of the Promoter, and are not entitled to any payment, commission or other benefit from the Promoter in connection with the Competition.
(f)Each Entrant conducts each event and activity referred to in clause 7(c) at its own risk. To the maximum extent permitted by law, and subject to clause 11(a), each Entrant releases the Promoter Parties from all claims, demands, actions, costs, and expenses arising out of, or in connection with, any such event or activity, except to the extent caused by the fraud, willful misconduct, or negligence of a Promoter Party.
(g)The Entrant indemnifies the Promoter and its parent, subsidiary, and affiliated entities and their respective officers, employees, contractors, and agents, against all loss, damage, cost, expense and liability (including reasonable attorneys' fees) suffered or incurred by them arising out of, or in connection with, a breach of clause 7(b) by the Entrant or any of its members.
8.Prize and notification
(a)The Prize for each Round is set out in Item 8 of the Competition Schedule.
(b)The total Prize pool for the Competition is as set out in Item 9 of the Competition Schedule.
(c)The Promoter will notify each Winner by email and/or telephone, using the contact details the Promoter holds for the Winner, within 5 Business Days of the Verification Date for the relevant Round.
(d)The Promoter will publish the name, university and total points of each Winner (and may publish the final ranking and total points of other Entrants) on the Website, the App and/or the Promoter's social media channels within 14 days of the Verification Date for the relevant Round.
(e)The Winner must claim the Prize within 30 days of the date of the Promoter's notification by responding to the notification email with the requested delivery or redemption details. When claiming the Prize, the person claiming it must confirm that the Winner accepts these Terms and that they are authorized to bind the Winner to them. If the Winner does not claim the Prize within that period, clause 6(g) applies.
(f)The Prize will be paid by electronic funds transfer to a bank account nominated by the Winner in writing, held in the name of the Winner or of its house corporation, alumni association or national or international organization. The Prize will not be paid to an account held by any individual. Before the Prize is paid, the Winner must provide any tax information the Promoter reasonably requires, including a completed Form W-9.
(g)The Prize must be accepted as awarded and is not transferable, assignable, exchangeable, or redeemable for cash (except where the Prize is itself a cash amount).
(h)The Winner is solely responsible for any tax (including, without limitation, income tax) and any other duties, levies or charges applicable or payable in connection with the acceptance, receipt or use of the Prize. The Promoter makes no representation as to the tax implications of the Prize and strongly recommends that the Winner obtain independent professional advice before accepting the Prize.
(i)The Promoter is not responsible for any loss, damage, cost, expense, or injury suffered by the Winner or any other person in connection with the acceptance, redemption, use or enjoyment of the Prize, subject always to clause 11(a).
9.Privacy
(a)The Promoter collects Personal Information from Entrants for the purposes of conducting the Competition, including verifying eligibility, assessing Entries, contacting Entrants, awarding the Prize, complying with applicable laws, and (where the Entrant has consented) for the Promoter's marketing and promotional activities.
(b)The Promoter may disclose Personal Information to its parent, subsidiary, and affiliated entities, contractors, service providers, professional advisers and to government authorities and regulators where required or authorized by law.
(c)The Promoter handles Personal Information in accordance with the Privacy Policy. The Privacy Policy contains information about how an Entrant may access or correct their Personal Information, and how an Entrant may make a complaint about the handling of their Personal Information.
(d)The Promoter will not disclose to an Entrant the identity of any person who selected it at sign-up. An Entrant will receive only aggregate information about its Qualifying Subscriptions and points.
(e)By taking part in the Competition, the Entrant consents to:
(i)the collection, use, and disclosure of their Personal Information as described in this clause 9 and in the Privacy Policy; and
(ii)the publication of the Winner's name, university and total points on the Website and on the Promoter's social media channels in accordance with clause 8.
(f)Where the Entrant elects to receive marketing communications from the Promoter, the Entrant may withdraw that consent at any time by following the unsubscribe instructions in any communication, or by contacting the Promoter at the email address in clause 13.7.
10.Promoter's rights
(a)The Promoter may, subject to any direction or approval required by law, vary, suspend, postpone, or terminate the Competition at any time. The Promoter will use reasonable endeavours to provide reasonable notice of any such variation, suspension, postponement or termination on the Website or via the App. The Promoter will not reduce the number or value of Prizes for a Round after the Entry Period for that Round has opened, except where required by law.
(b)The Promoter may, in its reasonable discretion, disqualify any Entrant or Entry where the Promoter reasonably believes that the Entrant has:
(i)breached, or attempted to breach, these Terms;
(ii)tampered with, manipulated or attempted to tamper with or manipulate, the entry process or the operation of the Competition;
(iii)used any automated, robotic, scripted or programmatic method to influence the outcome of the Competition;
(iv)engaged in conduct that is unlawful, fraudulent, deceptive, misleading or otherwise improper; or
(v)engaged in conduct that brings, or is reasonably likely to bring, the Promoter, the Platform or the Competition into disrepute.
(c)Without limiting clause 10(b), the Promoter may disregard any subscription, or reduce an Entrant’s total points, where it reasonably believes that the subscription is not a Qualifying Subscription or was obtained in breach of clause 7(b).
(d)The Promoter's failure to enforce any of its rights under these Terms at any time does not constitute a waiver of those rights.
(e)Where the Promoter exercises any right under this clause 10, the Promoter is not liable to any Entrant or any other person for any loss, damage, cost, or expense arising out of, or in connection with, the exercise of that right, except to the extent that liability cannot be excluded by law.
11.Liability and release
(a)Nothing in these Terms excludes, restricts, or modifies any right, guarantee or remedy conferred on the Entrant by applicable consumer protection laws that cannot lawfully be excluded, restricted, or modified.
(b)Subject to clause 11(a), and to the maximum extent permitted by law:
(i)the Promoter, its parent, subsidiary, and affiliated entities, and their respective directors, officers, employees, contractors, agents and judges (Promoter Parties) are not liable for any loss, damage, cost or expense (whether direct, indirect, consequential, incidental, special, or otherwise, and including any loss of profit, revenue, business opportunity, goodwill, or data) suffered or incurred by any Entrant or any other person in connection with the Competition, an Entry, the Prize or these Terms;
(ii)the Promoter Parties are not liable for any sign-up or chapter selection that is lost, late, misdirected, incomplete, illegible, corrupted, delayed, or not received by the Promoter for any reason, including any technical or communications failure; and
(iii)the total aggregate liability of the Promoter Parties to any Entrant arising out of, or in connection with, the Competition is limited, at the Promoter's election, to (i) the value of the relevant Prize, or (ii) the resupply of the Prize.
(c)Each Entrant releases the Promoter Parties from all claims, demands, actions, suits, causes of action, damages, costs, and expenses (including legal costs) arising out of, or in connection with, the Competition, the Entrant's participation in the Competition, the acceptance or use of a Prize, or these Terms, except to the extent caused by the fraud, willful misconduct or negligence of a Promoter Party.
(d)The Promoter Parties are not liable for any personal injury, death, property damage, loss of profits, loss of opportunity, or any other loss or damage suffered by an Entrant or any other person in connection with the acceptance, use, or enjoyment of a Prize or with any event or activity referred to in clause 7(c), except to the extent caused by the fraud, willful misconduct or negligence of a Promoter Party, and subject always to clause 11(a).
12.Governing law and disputes
(a)These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws principles.
(b)Each Entrant irrevocably submits to the exclusive jurisdiction of the state and federal courts located in New Castle County, Delaware, and waives any objection to venue in those courts.
13.General
13.1Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable, that provision is severed and the remainder of these Terms continues in full force and effect.
13.2Entire agreement
These Terms together with the Competition Schedule constitute the entire agreement between the Promoter and each Entrant in relation to the Competition, and supersede all prior representations, communications, understandings, and agreements (whether oral or in writing) in connection with the Competition.
13.3Variation
The Promoter may vary these Terms at any time by posting an updated version on the Website. The version of the Terms in force when the Entry Period for a Round commences applies to that Round.
13.4Notices
Any notice given by the Promoter to an Entrant under these Terms may be given by email to the email address the Promoter holds for the Entrant, or by such other method as the Promoter reasonably determines.
13.5No agency or partnership
Nothing in these Terms creates any agency, partnership, joint venture, employment, or fiduciary relationship between the Promoter and any Entrant.
13.6Force majeure
Where the Promoter is prevented from, or delayed in, performing any of its obligations under these Terms (including conducting or completing the Competition, or awarding the Prize) by reason of any act, event, or circumstance beyond its reasonable control (including any natural disaster, fire, flood, storm, epidemic, pandemic, public health order, act of terrorism, civil unrest, war, strike, lockout, industrial action, communications or utility failure, cyber attack, or act of any government authority), the Promoter is not liable for that non-performance or delay, and the Promoter may (subject to any direction or approval required by law) vary, suspend, postpone, or terminate the Competition in accordance with clause 10(a).

COMPETITION SCHEDULE
This Schedule sets out the specific details of the Competition. It must be read together with the Terms and Conditions, and the items in this Schedule form part of, and are incorporated by reference into, those Terms and Conditions.
