1.2Interpretation
In these Terms, unless the context requires otherwise:
(a)headings are for convenience only and do not affect interpretation;
(b)words importing the singular include the plural and vice versa;
(c)a reference to a person includes a natural person, body corporate, partnership, trust, association, and any other legal entity;
(d)a reference to legislation includes any amendment, re-enactment, or replacement of that legislation;
(e)a reference to a dollar amount or $ is to United States dollars;
(f)a reference to time is to time in the Eastern Time zone of the United States; and
(g)a reference to "including" or "such as" is not a word of limitation.
2.Nature of the Competition
(a)The Competition is a game of skill. Chance plays no part in determining any Winner, the ranking of any Entry, or the Prize awarded to any Winner.
(b)Each Entry will be assessed by the Judging Panel against the Judging Criteria set out in clause 7. The skill of the Entrant in addressing the Judging Criteria is the sole basis on which Winners are selected.
(c)Where two or more Entries are assessed as equally meritorious against the Judging Criteria, the Judging Panel will determine the Winner and the relative ranking of those Entries by further assessment of those Entries against the Judging Criteria, with the same skill-based criteria applied. No element of chance (including any random draw) will be used to determine a Winner or to break a tie.
(d)Each Round is a separate contest of skill, and Entries are assessed only against other Entries in the same Round.
(e)The number and value of Prizes in each Round are fixed as set out in the Prize Schedule and do not depend on the Promoter’s revenue or the number of Entries received.
3.Eligibility
(a)Subject to this clause 3, entry is open to natural persons who, at the time of entry, at the Snapshot Time for the relevant Round, and at the time any Prize is awarded:
(i)are aged 18 years or over;
(ii)are residents of, and lawfully present in, the United States;
(iii)are currently enrolled as a student at a Higher Education Institution located in the United States;
(iv)are currently a Paid Subscriber;
(v)have not previously been selected as a Winner in any Round (whether or not they claimed the Prize); and
(vi)satisfy any additional eligibility requirements set out in clause 4, including being a paid subscriber.
(b)The following persons are not eligible to enter the Competition:
(i)directors, officers and employees of the Promoter and of its parent, subsidiary, and affiliated entities;
(ii)immediate family members (being a spouse, de facto partner, parent, child, sibling, or person residing in the same household) of any person referred to in clause 3(b)(i); and
(iii)any agency, supplier, judge, or third party engaged in connection with the conduct of the Competition and their immediate family members.
(c)The Promoter may require an Entrant to provide evidence of their identity, age, residency, enrollment status, subscription status or compliance with any other condition of these Terms. If the Entrant does not provide that evidence to the Promoter's reasonable satisfaction within the time required (which will not be less than 5 Business Days), the Promoter may, in its reasonable discretion, disqualify the Entrant and forfeit any entitlement to a Prize.
(d)If an Entrant under the age of 18 enters the Competition in breach of clause 3(a)(i) the Promoter may disqualify the Entry, and the Promoter is not liable for any loss or damage suffered by that Entrant or any other person in connection with the Entry.
(e)The Promoter may, in its reasonable discretion, disqualify any Entrant whom the Promoter reasonably believes has breached or attempted to breach, these Terms.
(f)An eligible Entrant may submit an Entry at any time during the Entry Period, regardless of when they became a Paid Subscriber, and an Entry is not treated less favorably because of when it was submitted. A person may win a Prize in no more than one Round, and the Entry of a person selected as a Winner is excluded from every later Round.
4.How to enter
(a)The Competition opens on the Commencement Date. Entries may be submitted at any time during the Entry Period.
(b)An Entry is entered into each Round whose Snapshot Time falls after the Entry is received. Entries received after the Entry Period ends will not be considered.
(c)Competition is open to all natural persons who meet the eligibility requirements in clause 3. For the avoidance of doubt, entry is open only to Paid Subscribers. A subscription is payment for the services the Promoter makes available through the Platform, and is not a payment to enter the Competition. No further purchase or payment of any kind is necessary to enter the Competition or to be awarded a Prize.
(d)To enter, the Entrant must, during the Entry Period:
(i)access the entry form available on the Website or via the App;
(ii)provide their full name, email address, mobile phone number, date of birth, state of residence and current educational institution; and
(iii)submit a written response to the Competition Question as set out in Item 6 of the Schedule. The response must be the original work of the Entrant, must address the Competition Question, and must be no longer than the Word Limit as set out in Item 6 of the Competition Schedule.
(e)Only one Entry per person is permitted in the Competition. Where the Promoter reasonably believes that an Entrant has submitted more than one Entry (including via multiple email addresses, accounts, or devices), the Promoter may disqualify all Entries from that Entrant.
(f)An Entry is deemed to be received only when received by the Promoter at its servers. The Promoter is not responsible and shall not be liable for any Entry that is lost, late, misdirected, incomplete, illegible, corrupted, delayed or not received by the Promoter for any reason, including any technical or communications failure.
(g)The Entrant must not, in submitting an Entry:
(i)submit content that is defamatory, obscene, offensive, threatening, harassing, discriminatory, or unlawful;
(ii)submit content that infringes any intellectual property right, moral right, privacy right or any other right of any third party; or
(iii)use any automated, robotic, scripted or programmatic means to submit the Entry.
(h)An Entry carries over between Rounds. Once submitted, an Entry is entered into each Round for which the Entrant is eligible and whose Snapshot Time has not passed, without the Entrant submitting a new Entry, resubmitting their Entry, or taking any other step. An Entrant is only required to take a further step if the Promoter notifies them that they have been selected as a Winner.
5.Milestones and Rounds
(a)Each Round is contingent on the Paid Subscriber Count reaching the Milestone Threshold for that Round. If the Paid Subscriber Count does not reach the Milestone Threshold for a Round by the Long Stop Date, the Promoter may, in its reasonable discretion, in respect of that Round and each later Round:
(i)extend the time for reaching the Milestone Threshold and give notice of the new long-stop date on the Website;
(ii)reduce the Milestone Threshold and give notice of the new Milestone Threshold on the Website, provided that the Milestone Thresholds remain in ascending order and the Prizes for each Round are not reduced; or
(iii)cancel that Round and each later Round.
(b)Where the Promoter cancels any Round under clause 5(a)(iii) the Promoter is not, in any way, liable to any Entrant or any other person for any loss, damage, cost or expense arising out of, or in connection with, the cancellation, except to the extent that liability cannot be excluded by law. Any Round completed before the cancellation, and any Prize awarded in it, is not affected.
(c)The Promoter will determine whether and when a Milestone Threshold has been reached using its subscription records, and its determination is final in the absence of manifest error. Once reached, a Milestone Threshold is not affected by any subscription that later ends or changes. The Promoter will record the Paid Subscriber Count and the Entries eligible for judging in that Round as at the Snapshot Time.
(d)Promptly after a Snapshot Time, the Promoter will publish a notice on the Website and in the App stating the Round that has been triggered and the Snapshot Time for that Round.
(e)Rounds are judged in numerical order, and a Round will not be judged until the Winners of each preceding Round have been determined.
(f)The Entry Period commences on the Commencement Date set out in Item 5 of the Competition Schedule and ends on the earlier of the Snapshot Time for the final Round and the Long Stop Date.
(g)The Entries eligible for judging in a Round are all valid Entries received before the Snapshot Time for that Round from Entrants who satisfy clause 3 at that time, excluding the Entry of any person selected as a Winner in an earlier Round. Entries received after the Snapshot Time for a Round are not eligible for judging in that Round.
(h)Prizes are allocated to each Round as set out in the Prize Schedule and cannot be transferred or carried over to any other Round.
(i)Unless extended under clause 5(a), any Round whose Milestone Threshold has not been reached by the Long Stop Date lapses, and clause 5(b) applies as if that Round had been cancelled.
6.Entries and number of Winners
(a)The number of Winners in each Round is the number of Prizes for that Round in the Prize Schedule (Number of Winners).
(b)Where the Promoter receives fewer valid Entries in a Round than the Number of Winners for that Round, the Promoter may, in its reasonable discretion:
(i)award fewer Prizes in that Round, starting with the highest-value Prizes; or
(ii)defer the judging of that Round and give notice of the deferral on the Website.
(c)The Promoter is not required to award a Prize where, in the reasonable opinion of the Judging Panel, no valid Entry achieves a weighted score of at least the Minimum Standard set out in Item 11 of the Competition Schedule. Where fewer valid Entries achieve the Minimum Standard than the Number of Winners for a Round, the Promoter may award only that number of Prizes, starting with the highest-value Prizes, and no Entrant has any entitlement, claim, or expectation in respect of a Prize that is not awarded.
(d)Any Prize not awarded in a Round lapses and is not carried over to any other Round.
7.Judging
(a)Each Entry will be assessed by the Judging Panel on its merits against the Judging Criteria set out in Item 11 of the Competition Schedule, and only against the other valid Entries eligible for judging in that Round.
(b)The Judging Panel will be as set out in Item 12 of the Competition Schedule and will comprise at least two judges at all times. The Promoter may appoint additional or substitute judges at any time, provided that the Judging Panel continues to comprise at least two judges and that each judge assesses Entries against the same Judging Criteria. Before assessing Entries in a Round, each judge must disclose to the Promoter in writing any interest or relationship that could reasonably be seen to affect their impartiality in respect of an Entrant, and a judge who discloses such an interest will not assess that Entrant’s Entry. Each judge will record an individual score against each of the Judging Criteria for every Entry they assess, and where two or more Entries are assessed as equally meritorious the Judging Panel will record the basis on which it determined their relative ranking. The Promoter will retain those scores, the resulting rankings and any disclosure made under this clause for at least 24 months after the Judging Date for the relevant Round.
(c)Judging will take place at the Judging Location or by such other means as the Promoter reasonably determines (including remotely), on the Judging Date for the relevant Round, as set out in Item 10 of the Competition Schedule.
(d)The decision of the Judging Panel is final and binding. No correspondence will be entered into regarding the Judging Panel's decision or the conduct of the Competition, and the Promoter, the Judging Panel and their respective officers, employees and agents will not be liable to any entrant in connection with the judging process or the outcome of the Competition.
(e)If a Winner does not respond to the Promoter's notification within 30 days of the date the notification is sent, fails to provide information that is necessary for the Promoter to provide the Prize, or is found to be ineligible or in breach of these Terms, the Promoter may, in its reasonable discretion:
(i)forfeit the Winner's entitlement to the Prize; and
(ii)award the forfeited Prize to the eligible Entrant with the next highest-ranked Entry in that Round.
(f)For each Round, the Judging Panel will rank the top thirty-five valid Entries in order of merit against the Judging Criteria. Prizes are awarded in the order listed in the Prize Schedule, with the highest-ranked Entrant receiving the first Prize listed, and so on until all Prizes for that Round are awarded.
(g)Entries not selected as Winners have no entitlement to a Prize unless selected as a replacement Winner under clause 7(e).
8.Prize and notification
(a)The Prizes for each Round, including the number and value of each Prize, are set out in Item 8 of the Competition Schedule and the Prize Schedule.
(b)The Total Prize Pool is set out in Item 9 of the Competition Schedule and is the maximum amount the Promoter will award across all Rounds.
(c)The Promoter will notify each Winner by email and/or telephone, using the contact details provided in the Winner's Entry, within 5 Business Days of the Judging Date for the relevant Round.
(d)The Promoter will publish the first name, last initial, education institution and state of residence of each Winner on the Website, the App and/or the Promoter's social media channels within 14 days of the Judging Date for the relevant Round.
(e)The Winner must claim the Prize within 30 days of the date of the Promoter's notification by responding to the notification email with the requested delivery or redemption details. If the Winner does not claim the Prize within that period, clause 7(e) applies. Where the value of a Prize is $2,000 or more, the Promoter may require the Winner to provide a completed IRS Form W-9 (or other tax information the Promoter reasonably requires) before the Prize is awarded, and will report the Prize to the Internal Revenue Service as required by law.
(f)The Prize must be accepted as awarded and is not transferable, assignable, exchangeable, or redeemable for cash (except where the Prize is itself a cash amount).
(g)Where a Prize becomes unavailable for any reason beyond the Promoter's reasonable control, the Promoter may, subject to any direction or approval required by law, substitute the Prize with a prize of similar or greater value.
(h)The Winner is solely responsible for any tax (including, without limitation, income tax) and any other duties, levies or charges applicable or payable in connection with the acceptance, receipt or use of the Prize. The Promoter makes no representation as to the tax implications of the Prize and strongly recommends that the Winner obtain independent professional advice before accepting the Prize.
(i)The Promoter is not responsible for any loss, damage, cost, expense, or injury suffered by the Winner or any other person in connection with the acceptance, redemption, use or enjoyment of the Prize, subject always to clause 12(a).
9.Intellectual property and licenSe
(a)Subject to clause 9(b), the Entrant retains ownership of all intellectual property rights subsisting in their Entry.
(b)Where an Entry is selected as a winning Entry, the Entrant grants the Promoter a non-exclusive, royalty-free, perpetual, irrevocable, worldwide, transferable, and sub-licensable license to use, reproduce, publish, communicate to the public, broadcast, adapt, modify, translate and otherwise exploit the Entry, in whole or in part, and in any form or medium (whether now known or later developed), for any purpose connected with the Competition, the Promoter's business or the Promoter's promotional, marketing, advertising, and publicity activities. In respect of every other Entry, the Entrant grants the Promoter a non-exclusive, royalty-free, worldwide license to use, reproduce, store and communicate the Entry to the extent necessary to conduct and administer the Competition, and the Promoter may use that Entry for the purposes described in the first sentence of this clause only with the Entrant’s prior written consent.
(c)The Entrant warrants and represents that:
(i)the Entry is the original work of the Entrant and has not been copied (in whole or in part) from any other source;
(ii)the Entrant has all rights, consents, and authorizations necessary to grant the license in clause 9(b);
(iii)the use of the Entry by the Promoter as contemplated by these Terms will not infringe any intellectual property rights, moral rights, privacy rights or any other rights of any third party;
(iv)the Entry does not contain any defamatory, obscene, offensive, threatening, harassing, discriminatory or unlawful content; and
(v)where the Entry includes the image, likeness, voice, name or identifying information of any person other than the Entrant, the Entrant has obtained that person's prior written consent to the inclusion of that material in the Entry and to the use of the Entry by the Promoter in accordance with clause 9(b).
(d)To the extent permitted by law, the Entrant waives any right of attribution, integrity, or other similar right (however described) that the Entrant may have in the Entry, in favor of the Promoter (and any person authorized by the Promoter) in connection with the Promoter's use of the Entry as contemplated by these Terms.
(e)The Entrant indemnifies the Promoter and its parent, subsidiary, and affiliated entities and their respective officers, employees, contractors, and agents, against all loss, damage, cost, expense and liability (including reasonable attorneys' fees) suffered or incurred by them arising out of, or in connection with, a breach of any warranty in clause 9(c).
10.Privacy
(a)The Promoter collects Personal Information from Entrants for the purposes of conducting the Competition, including verifying eligibility, assessing Entries, contacting Entrants, awarding the Prize, complying with applicable laws, and (where the Entrant has consented) for the Promoter's marketing and promotional activities.
(b)The Promoter may disclose Personal Information to its parent, subsidiary, and affiliated entities, contractors, service providers, professional advisers and to government authorities and regulators where required or authorized by law.
(c)The Promoter handles Personal Information in accordance with the Privacy Policy. The Privacy Policy contains information about how an Entrant may access or correct their Personal Information, and how an Entrant may make a complaint about the handling of their Personal Information.
(d)By submitting an Entry, the Entrant consents to:
(i)the collection, use, and disclosure of their Personal Information as described in this clause 10 and in the Privacy Policy;
(ii)the publication of the Winner's first name, last initial, education institution and state of residence on the Website and on the Promoter's social media channels in accordance with clause 8; and
(iii)the use of any images, video, audio, or written content provided by the Entrant (whether as part of the Entry or otherwise in connection with the Competition) for the Promoter's advertisement, promotional and marketing purposes, in accordance with the license in clause 9(b).
(e)Where the Entrant elects to receive marketing communications from the Promoter, the Entrant may withdraw that consent at any time by following the unsubscribe instructions in any communication, or by contacting the Promoter at the email address in clause 14.7.
11.Promoter's rights
(a)The Promoter may, subject to any direction or approval required by law, vary, suspend, postpone, or terminate the Competition at any time. The Promoter will use reasonable endeavours to provide reasonable notice of any such variation, suspension, postponement or termination on the Website or via the App. The Promoter will not reduce the number or value of Prizes for a Round after the Entry Period for that Round has opened, except where required by law.
(b)The Promoter may, in its reasonable discretion, disqualify any Entrant or Entry where the Promoter reasonably believes that the Entrant has:
(i)breached, or attempted to breach, these Terms;
(ii)tampered with, manipulated or attempted to tamper with or manipulate, the entry process or the operation of the Competition;
(iii)used any automated, robotic, scripted or programmatic method to submit Entries or to influence the outcome of the Competition;
(iv)engaged in conduct that is unlawful, fraudulent, deceptive, misleading or otherwise improper; or
(v)engaged in conduct that brings, or is reasonably likely to bring, the Promoter, the Platform or the Competition into disrepute.
(c)The Promoter's failure to enforce any of its rights under these Terms at any time does not constitute a waiver of those rights.
(d)Where the Promoter exercises any right under this clause 11, the Promoter is not liable to any Entrant or any other person for any loss, damage, cost, or expense arising out of, or in connection with, the exercise of that right, except to the extent that liability cannot be excluded by law.
12.Liability and release
(a)Nothing in these Terms excludes, restricts, or modifies any right, guarantee or remedy conferred on the Entrant by applicable consumer protection laws that cannot lawfully be excluded, restricted, or modified.
(b)Subject to clause 12(a), and to the maximum extent permitted by law:
(i)the Promoter, its parent, subsidiary, and affiliated entities, and their respective directors, officers, employees, contractors, agents and judges (Promoter Parties) are not liable for any loss, damage, cost or expense (whether direct, indirect, consequential, incidental, special, or otherwise, and including any loss of profit, revenue, business opportunity, goodwill, or data) suffered or incurred by any Entrant or any other person in connection with the Competition, an Entry, the Prize or these Terms;
(ii)the Promoter Parties are not liable for any Entry that is lost, late, misdirected, incomplete, illegible, corrupted, delayed, or not received by the Promoter for any reason, including any technical or communications failure; and
(iii)the total aggregate liability of the Promoter Parties to any Entrant arising out of, or in connection with, the Competition is limited, at the Promoter's election, to (i) the value of the relevant Prize, or (ii) the resupply of the Prize.
(c)Each Entrant releases the Promoter Parties from all claims, demands, actions, suits, causes of action, damages, costs, and expenses (including legal costs) arising out of, or in connection with, the Competition, the Entrant's participation in the Competition, the acceptance or use of a Prize, or these Terms, except to the extent caused by the fraud, willful misconduct or negligence of a Promoter Party.
(d)The Promoter Parties are not liable for any personal injury, death, property damage, loss of profits, loss of opportunity, or any other loss or damage suffered by an Entrant or any other person in connection with the acceptance, use, or enjoyment of a Prize, except to the extent caused by the fraud, willful misconduct or negligence of a Promoter Party, and subject always to clause 12(a).
13.Governing law and disputes

(b)Each Entrant irrevocably submits to the exclusive jurisdiction of the state and federal courts located in New Castle County, Delaware, and waives any objection to venue in those courts.

If any provision of these Terms is held to be invalid, illegal, or unenforceable, that provision is severed and the remainder of these Terms continues in full force and effect.
14.2Entire agreement
These Terms together with the Competition Schedule (including the Prize Schedule) constitute the entire agreement between the Promoter and each Entrant in relation to the Competition, and supersede all prior representations, communications, understandings, and agreements (whether oral or in writing) in connection with the Competition.
14.3Variation
The Promoter may vary these Terms at any time by posting an updated version on the Website. The version of the Terms in force at the time the Entrant submits an Entry applies to that Entry.
