Carpool, Marketplace, Podcast, and Community Conduct

This Acceptable Use Policy (Policy) sets out the rules, behavioural standards, and content requirements that apply to your use of the WolfX platform (Platform), including the website at www.wolfxapp.com and the WolfX mobile application, operated by WolfX App Pty Ltd (ACN 694 194 655 / ABN 23 694 194 655) (trading as WolfX) (we, us or our).
The Platform helps Student Users share student transport through the Carpool Feature, list and discover side ventures, goods, and services through the Marketplace Feature, record and distribute podcasts through the Podcast Feature, and engage with the broader student community. This Policy applies to all use of the Platform, including the offering and acceptance of Carpool Matches, the listing and acceptance of Marketplace Transactions, the upload and distribution of Podcast Content, and any communication with another Student User through the Platform.
This Policy forms part of, and must be read together with, our Website Terms of Use, Mobile App Terms of Use, Privacy Policy, Cookie Policy, and Website Disclaimer. By accessing or using the Platform, you agree to comply with this Policy. If you do not agree, you must not use the Platform.
In this Policy, you and your refers to you as a Student User of the Platform, whether in the capacity of a Driver, Passenger, Seller, Buyer, Podcast Creator, or otherwise.
OPERATIVE PROVISIONS
1. Definitions and interpretation
Definitions
In this Policy, the following definitions apply:
| Account | means a user account created and held by a Student User, as described in our Mobile App Terms of Use. |

| Buyer | means a Student User who responds to a Marketplace listing in the capacity of buying, hiring, or otherwise acquiring goods or services from another Student User. |
| Carpool Feature | means the carpool matching functionality of the Platform that connects Student Users sharing university-related or other journeys. |
| Carpool Match | means a connection or pairing between Student Users facilitated through the Carpool Feature. |
| Driver | means a Student User who offers a Carpool Match through the Carpool Feature in the capacity of a driver. |
| Force Majeure Event | has the meaning given in clause 13.3. |
| Harmful Content | means any content that is unlawful, defamatory, obscene, threatening, harassing, discriminatory, or otherwise objectionable, or that promotes or incites violence, self-harm, hatred, sexual exploitation, or illegal activity. |
| Loss | means any loss, liability, cost, claim, expense, damage, charge, penalty, outgoing, or payment however arising, whether present, unascertained, immediate, future, or contingent, including reasonable legal costs on a solicitor and own client basis. |
| Marketplace Feature | means the functionality of the Platform that allows Student Users to list, advertise, sell, buy, hire, or trade goods, services, and side ventures. |
| Marketplace Transaction | means a transaction between Student Users facilitated through the Marketplace Feature. |
| Passenger | means a Student User who accepts a Carpool Match for the purpose of transport of themselves through the Carpool Feature. |
| Platform | means the WolfX website and the WolfX mobile application, including all pages, features, and content accessible through those channels. |
| Podcast Content | means audio recordings, audio files, podcast metadata, transcripts, show notes, artwork, and other materials submitted to, or generated through, the Podcast Feature. |
| Podcast Creator | means a Student User who records, hosts, uploads, or distributes Podcast Content through the Podcast Feature. |
| Podcast Feature | means the podcast hosting, recording, and distribution functionality made available through the Platform. |
| Policy | means this Acceptable Use Policy, as amended from time to time. |
| Prohibited Item | has the meaning given in clause 7.4. |
| Seller | means a Student User who lists, advertises, offers, or supplies goods or services through the Marketplace Feature. |
| Student User | means a person who is at least 18 years of age and a current or recently enrolled student at a Tertiary Institution, who has registered for an Account. |
| Tertiary Institution | means a university, TAFE, or other tertiary education institution recognised by us from time to time. |
Interpretation
In this Policy, unless the context otherwise requires:

headings are for convenience only and do not affect interpretation;
-
the singular includes the plural and vice versa;
-
a reference to a statute, regulation, or other law includes all amendments, consolidations, and replacements;
-
a reference to writing includes email; and
-
terms defined in the Website Terms of Use or Mobile App Terms of Use have the same meaning in this Policy unless otherwise defined.
2. Scope of this policy
This Policy applies to all use of the Platform by Student Users, whether through the Website, the WolfX mobile application, or any other channel through which the Platform is made available.
This Policy supplements the Website Terms of Use and the Mobile App Terms of Use. To the extent of any inconsistency between this Policy and those terms in relation to the use of the Carpool Feature, the Marketplace Feature, or the Podcast Feature, this Policy prevails.
We may update this Policy from time to time. Any changes will be effective immediately upon posting the updated Policy on the Platform. Your continued use of the Platform after any changes constitutes your acceptance of the revised Policy.
3. Nature of the platform
The Platform is a technology service that helps Student Users connect with one another to share transport, transact through the Marketplace Feature, collaborate on Podcast Content, and engage with the broader student community. We provide the technology only.
You acknowledge and agree that:

we are not a transport operator, commercial passenger vehicle service, ride-sourcing service, courier, retailer, marketplace fulfilment provider, agent, broker, financial services provider, employment service, podcast publisher, or media production company;
-
we do not provide, supervise, or take responsibility for any journey, transaction, Podcast Content, collaboration, or other arrangement made through the Platform;
-
we do not process or collect any payment for, and do not receive any commission or fare in connection with, any Carpool Match facilitated through the Platform (other than a Service Fee charged in connection with a Marketplace Transaction or other in-app payment, as described in our Mobile App Terms of Use);
-
we do not employ, engage, or contract with any Student User, and no Student User is authorised to act on our behalf; and
-
each Carpool Match, Marketplace Transaction, and podcast collaboration is a private, voluntary arrangement between the Student Users involved, and any journey, transaction, engagement, or collaboration takes place at the sole risk of the participants.
We do not verify or confirm the identity, character, background, qualifications, driver licence, vehicle, insurance, financial capacity, ownership of goods, or fitness of any Student User beyond the limited account and student status checks described in clause 4 and in our Mobile App Terms of Use. We make no representation or warranty regarding the conduct, suitability, or trustworthiness of any Student User.
4. Eligibility and account requirements
To use the Platform, you must:
-
be at least 18 years of age and a current or recently enrolled student at a Tertiary Institution recognised by us;
-
hold a valid Account with us and comply with our Mobile App Terms of Use and Website Terms of Use;
-
provide accurate, current, and complete information about yourself (including your name, date of birth, Tertiary Institution, course of study, and contact details), and update that information promptly when it changes;
-
not create more than one Account, and not impersonate, misrepresent, or assume the identity of another person; and
-
comply with all applicable laws, regulations, road rules, consumer protection requirements, intellectual property laws, and tax obligations that apply to your use of the Platform.
We may, at our discretion, require additional verification of your age, identity, Tertiary Institution, student status, vehicle, or driver licence before allowing you to access certain features of the Platform (including before allowing you to offer Carpool Matches, transact through the Marketplace Feature, or distribute Podcast Content). We may engage third party verification services for this purpose. Successful completion of any verification step does not constitute a recommendation or endorsement by us of any Student User.
5. Driver obligations
If you use the Carpool Feature as a Driver, you represent, warrant, and undertake that:

you hold a current and valid driver licence of the appropriate class for the vehicle you use, and you are not subject to any suspension, disqualification, or condition that affects your ability to drive lawfully;
-
the vehicle you use is:
-
roadworthy, properly maintained, and fit for its intended use;
-
registered with the relevant State or Territory road authority; and
-
covered by compulsory third party insurance and any other insurance required by law;
-
you will drive safely and responsibly, obey all applicable road rules and speed limits, and will not drive while impaired by alcohol, drugs, fatigue, or any medical condition;
-
you will only offer Carpool Matches for journeys that you are genuinely undertaking for your own personal, non-commercial purposes (for example, university, study-related, or personal journeys), and not for the purpose of providing a commercial transport service;
-
you will not carry more Passengers than the number of seatbelt-equipped seats in your vehicle, and you will not permit any Passenger to travel without wearing a fitted seatbelt;
-
you will respect the property and personal safety of your Passengers at all times;
-
you will comply with all applicable laws in relation to the carriage of passengers, the use of mobile devices while driving, and the transportation of goods (including any restrictions on carrying dangerous, prohibited, or restricted items); and
-
you are solely responsible for any Loss, injury, or damage arising from or in connection with your conduct as a Driver, including any collision, injury, or property damage that occurs during a journey.
Any cost-sharing between you and a Passenger must remain incidental and non-commercial in nature. You must not seek or accept any payment or benefit that would cause the Carpool Feature, or your use of it, to be characterised as a commercial passenger vehicle service, ride-sourcing service, or similar regulated activity in your jurisdiction.
6. Passenger obligations
If you use the Carpool Feature as a Passenger, you represent, warrant, and undertake that:

you will assess and take responsibility for your own safety in deciding whether to accept a Carpool Match or undertake any journey;
-
you will provide all information reasonably necessary to allow the responding Driver to perform the arrangement safely (including any relevant medical conditions or allergies), without providing more personal information than is reasonably necessary;
-
you will wear a fitted seatbelt at all times while the vehicle is in motion;
-
you will not bring, carry, or transport any dangerous, prohibited, or restricted item into or through any vehicle used for a Carpool Match;
-
you will respect the property and personal safety of the Driver and any other Passenger at all times, and will not engage in any conduct that interferes with the Driver's ability to operate the vehicle safely;
-
you will cover the agreed share (if any) of fuel, tolls, parking, or other out-of-pocket expenses in a timely manner; and
-
you are solely responsible for any Loss arising from or in connection with your conduct as a Passenger.
7. Marketplace obligations
Seller obligations
If you use the Marketplace Feature as a Seller, you represent, warrant, and undertake that:
-
you have the right to sell, hire, or trade the goods or services you list, and the listing does not infringe the intellectual property, contractual, or other rights of any third party;
-
your listing is accurate, complete, and not misleading or deceptive, and describes the goods or services in a manner that complies with the Australian Consumer Law and any other applicable consumer protection law;
-
the goods or services you list are not Prohibited Items;
-
where the goods or services you list are subject to any licensing, registration, recall, safety, or labelling requirement, you hold all required licences and registrations and the goods or services comply with all applicable safety and labelling requirements;
-
you will provide the goods or services in accordance with the listing and any agreement reached with the Buyer, and you will respond to reasonable enquiries from the Buyer in a timely manner;
-
you will comply with all applicable tax obligations in connection with amounts you receive through the Marketplace Feature (including any GST and income tax obligations), and you acknowledge that we do not provide tax advice; and
-
you are solely responsible for any Loss, injury, or damage arising from or in connection with the goods or services you list, supply, or otherwise make available through the Marketplace Feature.
Buyer obligations
If you use the Marketplace Feature as a Buyer, you represent, warrant, and undertake that:
-
you will assess and take responsibility for your own decision to enter into a Marketplace Transaction, including by reviewing the listing carefully and asking the Seller any questions reasonably necessary to assess suitability;
-
you will pay the agreed price for the goods or services in a timely manner;
-
you will respect the property and personal safety of the Seller and any other Student User involved in the Marketplace Transaction;
-
you will not use the Marketplace Feature for any fraudulent, harassing, or unlawful purpose; and
-
you are solely responsible for any Loss arising from or in connection with your conduct as a Buyer.
Prohibited Items means goods or services that must not be listed, advertised, sold, hired, traded, or otherwise made available through the Marketplace Feature, including:
-
goods or services that are unlawful to possess, supply, or use, or that may only be supplied under a licence or authority that the Seller does not hold;
-
firearms, ammunition, explosives, knives (other than ordinary kitchen and utility knives), and other weapons;
-
illicit drugs, controlled or prescription substances, drug paraphernalia, alcohol, tobacco products, vaping products, and nicotine delivery devices;
-
live animals;
-
pornographic, sexually explicit, or sexual services content or services, and any service that involves sexual contact or commercial sexual services;
-
counterfeit, replica, or unauthorised reproductions of branded goods, software, music, films, books, or other intellectual property;
-
stolen property or property the title to which is in dispute;
-
academic dishonesty services, including the sale, supply, or trade of completed assignments, essays, theses, tests, examinations, or other assessment items intended to be submitted as the Student User's own work, ghost-writing services, contract cheating services, sale of examination or assessment content, or services that contravene any Tertiary Institution's academic integrity rules;
-
financial products, securities, derivatives, investment schemes, managed investment schemes, credit, or financial advisory services that require an Australian Financial Services Licence or Australian Credit Licence held by the Seller, where the Seller does not hold the required licence;
-
cryptocurrencies, non-fungible tokens, and other digital assets where the listing or transaction would breach applicable financial services, anti-money laundering, or consumer protection laws;
-
pyramid, multi-level marketing, or chain-letter schemes;
-
gambling products, gambling services, or unregulated betting opportunities;
-
personal information, identity documents, or login credentials of any person (other than your own, where lawfully disclosed for the purposes of the Platform);
-
hazardous materials, radioactive substances, toxic chemicals, and other dangerous goods, except where lawfully supplied by a Seller who holds the required licences and complies with applicable safety and transport laws; and
-
any other goods or services that we identify from time to time as Prohibited Items by notice through the Platform.
8. Podcast content obligations
If you use the Podcast Feature as a Podcast Creator, you represent, warrant, and undertake that:
-
you own, or hold all necessary rights, licences, releases, and consents to use, all material that is included in, used to create, or featured within your Podcast Content (including any music, sound recordings, video, images, scripts, third party clips, and references to third parties);
-
you have obtained the informed and voluntary consent of every person whose voice, image, or contribution is included in your Podcast Content (including any guest, co-host, or interviewee), and that consent extends to the recording, hosting, distribution, and use of the Podcast Content in the manner contemplated by the Platform;
-
your Podcast Content does not infringe the copyright, trade mark, moral rights, publicity rights, privacy rights, or other rights of any third party;
-
your Podcast Content is not defamatory, does not contain Harmful Content, and complies with all applicable laws (including copyright, defamation, privacy, broadcasting, classification, surveillance devices, and listening devices laws);
-
you have not recorded any communication or conversation in breach of any applicable surveillance devices or listening devices law, and you will not upload any such recording to the Platform;
-
you will not use the Podcast Feature to publish or distribute content that targets, identifies, or discloses personal information about another Student User, member of a Tertiary Institution community, or other person without their consent or some other lawful basis;
-
you will comply with the editorial standards, content classifications, and metadata requirements set out in the Platform from time to time (including any required content warnings for explicit or sensitive content); and
-
you are solely responsible for any Loss arising from or in connection with your Podcast Content.
You acknowledge that we may, in our sole discretion, remove or restrict access to any Podcast Content that we reasonably believe breaches this Policy, infringes the rights of a third party, contains Harmful Content, or otherwise poses a risk to us, to another Student User, or to the integrity of the Platform.
9. General community conduct
In your use of the Platform, including any in-app messaging, profile, listing, podcast, post, or other Student User-facing feature, you must:
-
treat other Student Users with respect, and not engage in harassment, bullying, stalking, intimidation, discrimination, hate speech, or threats of violence;
-
not engage in conduct that is sexual in nature toward another Student User without their consent, and not solicit sexual conduct or sexual content from another Student User;
-
not disclose the personal information of any other person without their consent (including by way of doxing or sharing identity documents, addresses, or login credentials);
-
not impersonate any person or entity, or misrepresent your age, identity, Tertiary Institution, course of study, qualifications, or affiliation with any organisation;
-
not record, photograph, or capture another Student User (whether in audio, video, or image form) without their informed and voluntary consent, except where lawfully permitted; and
-
not use the in-app messaging or community features to send unsolicited commercial communications (spam) or to promote a business, product, or service outside the Marketplace Feature.
10. Prohibited conduct
In connection with your use of the Platform, you must not:
-
use the Platform for any unlawful, fraudulent, or harmful purpose;
-
operate the Platform as, or represent the Platform to others as, a commercial transport, taxi, ride-sourcing, courier, retail, financial services, podcast publishing, or media production business;
-
submit, post, transmit, or list any Harmful Content, including through your profile, in a Carpool Match offer, in a Marketplace listing, in your Podcast Content, in messages with other Student Users, or in any other Student User-facing feature;
-
engage in conduct that endangers the safety of another Student User, including any conduct prohibited by clauses 5, 6, 7, 8, or 9;
-
consume alcohol or illicit drugs in a manner that impairs your ability to use the Platform safely, to drive, or to participate in a Marketplace Transaction or podcast collaboration;
-
carry, possess, or transport any firearm, weapon, or other dangerous item during a Carpool Match (except where lawfully permitted and reasonably necessary);
-
collect, store, or use any personal information about another Student User, other than for the purpose of completing the relevant arrangement, or share that information with any third party without consent;
-
use any automated tools, bots, or scripts to create Carpool Matches, submit or respond to Marketplace listings, upload Podcast Content, send messages, solicit other Student Users, or otherwise interact with the Platform, except through the interfaces we provide;
-
attempt to circumvent, disable, or interfere with any safety, security, identity, verification, or moderation feature of the Platform; or
-
use the Platform in any other way that causes, or could reasonably be expected to cause, harm to another Student User, to us, or to any third party.
11. Reporting incidents and concerns
If you experience or witness any conduct that breaches this Policy, any safety concern relating to another Student User, or any incident, injury, or property damage arising in connection with an arrangement, you should:

in the case of an emergency or suspected crime, contact emergency services on 000 (or the relevant emergency number in your jurisdiction) immediately;
-
contact your local police or other competent authority where the circumstances warrant;
-
take any steps reasonably available to you to ensure your safety and the safety of others; and
-
report the matter to us through the in-app reporting function or at support@wolfxapp.com as soon as reasonably practicable.
We will review reports of alleged breaches of this Policy in good faith. We may request further information, liaise with relevant authorities (including law enforcement, the eSafety Commissioner, regulators, copyright owners, and Tertiary Institution authorities), and take any action we consider appropriate in accordance with clause 12.
We are not a law enforcement body, a regulator, or an investigator. The making of a report to us does not substitute for, or satisfy, any obligation you may have to report a matter to police, a regulator, or another competent authority.
12. Monitoring and enforcement
We reserve the right (but are not obliged) to monitor, review, or investigate any use of the Platform for the purpose of assessing compliance with this Policy, protecting the safety of Student Users, and protecting the integrity of the Platform. This may include automated and human review of profiles, listings, Podcast Content, messages, and other content.
If we determine, in our sole discretion, that you have breached this Policy, we may take any one or more of the following actions without prior notice:

issue a warning to you;
-
suspend or restrict your access to the Carpool Feature, the Marketplace Feature, the Podcast Feature, the in-app payment functionality, the Platform, or your Account (in whole or in part);
-
terminate your Account;
-
remove or disable access to any content (including Marketplace listings and Podcast Content) that breaches this Policy;
-
withhold, reverse, or forfeit any funds held in connection with a disputed Marketplace Transaction, pending resolution of the matter;
-
report the breach, and disclose associated information about you and your use of the Platform, to law enforcement authorities, regulators, the eSafety Commissioner, copyright owners, Tertiary Institution authorities, or other competent bodies; and
-
take any other action we consider reasonably necessary to protect Student Users, our rights, or the integrity of the Platform.
Our decision to take or not to take enforcement action in any particular instance does not constitute a waiver of our right to take enforcement action in relation to any other breach of this Policy.
13. Force majeure
We are not liable for any failure or delay in making the Platform available or performing any obligation in connection with this Policy to the extent that the failure or delay is caused directly by a Force Majeure Event, provided that:

we use reasonable endeavours to minimise the impact of the Force Majeure Event and to resume normal service as soon as practicable; and
-
the failure or delay is not attributable to our negligence, wilful misconduct, or failure to take reasonable precautions.
If a Force Majeure Event prevents us from making the Platform available for a continuous period of more than 60 days, we may discontinue the Platform (in whole or in part) without liability to you.
For the purposes of this Policy, Force Majeure Event means any event or circumstance beyond our reasonable control, including:

acts of God, flood, earthquake, storm, cyclone, or other natural disaster;
-
epidemic, pandemic, or public health emergency declared by a government authority;
-
war, invasion, acts of terrorism, riot, or civil unrest;
-
government action, law, regulation, order, or embargo;
-
failure of third party infrastructure, including telecommunications, power networks, or cloud computing services; and
-
cyberattack, distributed denial of service attack, or other malicious interference with digital infrastructure.
For the avoidance of doubt, a Force Majeure Event does not include financial difficulty or inability to pay.
14. General

Governing Law: This Policy is governed by and construed in accordance with the laws of Victoria, Australia. You irrevocably submit to the non-exclusive jurisdiction of the courts of Victoria and any courts entitled to hear appeals from those courts.

Severability: If any provision of this Policy is held to be invalid, illegal, or unenforceable, that provision will be severed from this Policy and the remaining provisions will continue in full force and effect.

Waiver: A failure or delay by us in exercising any right, power, or remedy under this Policy does not operate as a waiver of that right, power, or remedy. A single or partial exercise of any right, power, or remedy does not preclude any other or further exercise of that right or any other right, power, or remedy.

Entire Agreement: This Policy, together with our Website Terms of Use, Mobile App Terms of Use, Privacy Policy, Website Disclaimer, and Cookie Policy, constitutes the entire agreement between you and us in relation to your use of the Platform and supersedes all prior agreements, representations, and understandings.

Assignment: You may not assign or transfer any of your rights or obligations under this Policy without our prior written consent. We may assign or transfer our rights and obligations under this Policy to any third party without your consent.
