(A) These Terms and Conditions (Terms) govern entry into and participation in the competitions conducted by WolfX App Pty Ltd ACN 694 194 655, trading as WolfX, of Level 10, 369 Royal Parade, Parkville, VIC 3052 (Promoter, we, us, our). By submitting an Entry, you (the Entrant) agree to be bound by these Terms.

(B) The Promoter operates an application designed for university students for personal development, supporting side hustles, producing podcasts, and student ride sharing (the App). Information about the Promoter and the App is available at www.wolfxapp.com.

(C) The Promoter recommends that the Entrant prints or saves a copy of these Terms for their records.

OPERATIVE PROVISIONS

1. DEFINITIONS AND INTERPRETATION

Definitions

1.1 In these Terms, unless the context requires otherwise:

TermMeaning
ACLmeans the Australian Consumer Law set out in Schedule 2 to the Competition and Consumer Act 2010 (Cth).
Appmeans the WolfX application operated by the Promoter.
Business Daymeans a day that is not a Saturday, Sunday, or public holiday in Melbourne, Victoria.
Competitionmeans the competition stipulated under Item 1 of the Competition Schedule, conducted on these Terms.
Competition Schedulemeans the schedule to these Terms that sets out the particulars of the Competition.
Entrantmeans a person who submits an Entry.
Entrymeans a submission made in accordance with these Terms.
Entry Periodmeans the period during which Entries may be submitted, as set out in Item 4 of the Competition Schedule.
Judging Criteriameans the criteria against which Entries are assessed, as set out in clause 7 and Item 10 of the Competition Schedule.
Judging Panelmeans the panel of persons appointed by the Promoter to assess Entries in accordance with clause 7.
Milestone Thresholdmeans the subscriber count that triggers the opening of the Competition, as set out in Item 2 of the Competition Schedule.
Paid Subscribermeans a person who, as at the relevant date, holds a current, active, paid subscription to the App, and whose subscription is not in arrears, suspended, terminated, or cancelled.
Personal Informationhas the meaning given in the Privacy Act 1988 (Cth).
Prizemeans the prize made available for the Competition, as set out in clause 9 and Item 7 of the Competition Schedule.
Privacy Policymeans the Promoter's privacy policy available at www.wolfxapp.com/legal/privacy, as updated from time to time.
Promotermeans WolfX App Pty Ltd ACN 694 194 655, trading as WolfX.
Termsmeans these terms and conditions, including the Competition Schedule.
WebsiteMeans www.wolfxapp.com
Winnermeans an Entrant whose Entry is selected by the Judging Panel in accordance with these Terms.

Interpretation

1.2 In these Terms, unless the context requires otherwise:

(a) headings are for convenience only and do not affect interpretation;

(b) words importing the singular include the plural and vice versa;

(c) a reference to a person includes a natural person, body corporate, partnership, trust, association, and any other legal entity;

(d) a reference to legislation includes any amendment, re-enactment, or replacement of that legislation;

(e) a reference to a dollar amount or $ is to Australian dollars;

(f) a reference to time is to time in Melbourne, Victoria (being Australian Eastern Standard Time or Australian Eastern Daylight Time, as applicable); and

(g) a reference to "including" or "such as" is not a word of limitation.

2. NATURE OF THE COMPETITION

2.1 The Competition is a game of skill. Chance plays no part in determining the Winner.

2.2 Each Entry will be assessed by the Judging Panel against the Judging Criteria set out in clause 7. The skill of the Entrant in addressing the Judging Criteria is the sole basis on which Winners are selected.

2.3 Where two or more Entries are assessed as equally meritorious against the Judging Criteria, the Judging Panel will determine the Winner by further assessment of those Entries against the Judging Criteria, with the same skill-based criteria applied. No element of chance (including any random draw) will be used to determine a Winner or to break a tie.

3. ELIGIBILITY

3.1 Subject to this clause 3, entry into the Competition is open to natural persons who, at the time of entry and at the time the Prize is awarded:

(a) are aged 18 years or over;

(b) are residents of Australia;

(c) are currently enrolled as a student at an Australian university or other recognised tertiary educational institution in Australia; and

(d) satisfy any additional eligibility requirements set out in Item 12 of the Competition Schedule

(e) be a Paid Subscriber.

3.2 The following persons are not eligible to enter the Competition:

(a) directors, officers and employees of the Promoter and of its related bodies corporate (as that term is defined in the Corporations Act 2001 (Cth));

(b) immediate family members (being a spouse, de facto partner, parent, child, sibling, or person residing in the same household) of any person referred to in clause 3.2(a); and

(c) any agency, supplier, judge, or third party engaged in connection with the conduct of the Competition, and their immediate family members.

3.3 The Promoter may require an Entrant to provide evidence of their identity, age, residency, enrolment status, subscription status, or compliance with any other condition of these Terms. If the Entrant does not provide that evidence to the Promoter's reasonable satisfaction within the time required (which will not be less than 5 Business Days), the Promoter may, in its reasonable discretion, disqualify the Entrant and forfeit any entitlement to a Prize.

3.4 If an Entrant under the age of 18 enters the Competition in breach of clause 3.1(a), the Promoter may disqualify the Entry, and the Promoter is not liable for any loss or damage suffered by that Entrant or any other person in connection with the Entry.

3.5 The Promoter may, in its reasonable discretion, disqualify any Entrant whom the Promoter reasonably believes has breached, or attempted to breach, these Terms.

4. HOW TO ENTER

4.1 The Competition opens on the Commencement Date. The Entry Period commences on the Commencement Date and closes on the Closing Date, as set out in the Competition Schedule. Entries received outside the Entry Period will not be considered.

4.2 The Competition is open to all natural persons who meet the eligibility requirements in clause 3. For the avoidance of doubt, no purchase or payment of any kind is necessary to enter the Competition. Where Item 12 of the Competition Schedule expressly restricts eligibility to Paid Subscribers, that restriction operates as an eligibility criterion only: every eligible Entrant has an equal opportunity to win based solely on the merit of their Entry, and no payment, subscription tier, or subscription length affects the outcome.

4.3 To enter, the Entrant must, during the Entry Period:

(a) access the entry form available on the Website or via the App;

(b) provide their full name, email address, mobile phone number, date of birth, State or Territory of residence, and current educational institution; and

(c) submit a written response to the Competition Question as set out in Item 5 of the Competition Schedule. The response must be the original work of the Entrant, must address the Competition Question, and must be no longer than the Word Limit set out in Item 5 of the Competition Schedule.

4.4 Only one Entry per person is permitted. Where the Promoter reasonably believes that an Entrant has submitted more than one Entry (including via multiple email addresses, accounts, or devices), the Promoter may disqualify all Entries from that Entrant.

4.5 An Entry is deemed to be received only when received by the Promoter at its servers. The Promoter is not responsible, and shall not be liable, for any Entry that is lost, late, misdirected, incomplete, illegible, corrupted, delayed, or not received by the Promoter for any reason, including any technical or communications failure.

4.6 The Entrant must not, in submitting an Entry:

(a) submit content that is defamatory, obscene, offensive, threatening, harassing, discriminatory, or unlawful;

(b) submit content that infringes any intellectual property right, moral right, privacy right, or any other right of any third party; or

(c) use any automated, robotic, scripted, or programmatic means to submit the Entry.

5. MILESTONE-DEPENDENT COMMENCEMENT

5.1 The Competition is contingent on the App reaching the Milestone Threshold. If the App does not reach the Milestone Threshold by 31 December 2026, the Promoter may, in its reasonable discretion:

(a) extend the time for reaching the Milestone Threshold and give notice of the new long-stop date on the Website;

(b) reduce the Milestone Threshold and give notice of the new Milestone Threshold on the Website; or

(c) cancel the Competition.

5.2 Where the Promoter cancels the Competition under clause 5.1(c), the Promoter is not, in any way, liable to any Entrant or any other person for any loss, damage, cost, or expense arising out of, or in connection with, the cancellation, except to the extent that liability cannot be excluded by law.

6. ENTRIES AND NUMBER OF WINNERS

6.1 The number of Winners for the Competition is as set out in Item 6 of the Competition Schedule.

6.2 Where the Promoter receives fewer valid Entries than the number of Winners, the Promoter may, in its reasonable discretion:

(a) award fewer Prizes than the number of Winners; or

(b) extend the Entry Period and give notice of the extended Entry Period on the Website.

7. JUDGING

7.1 Each Entry will be assessed by the Judging Panel on its merits against the Judging Criteria set out in Item 10 of the Competition Schedule.

7.2 The Judging Panel will be as set out in Item 11 of the Competition Schedule. The Promoter may, in its discretion, appoint additional or substitute judges at any time, with or without notice to the Entrants.

7.3 Judging will take place at the Judging Location, or by such other means as the Promoter reasonably determines (including remotely), on the Judging Date, as set out in Item 9 of the Competition Schedule.

7.4 The decision of the Judging Panel is final and binding. No correspondence will be entered into regarding the Judging Panel's decision or the conduct of the Competition, and the Promoter, the Judging Panel, and their respective officers, employees, and agents will not be liable to any Entrant in connection with the judging process or the outcome of the Competition.

7.5 If a Winner cannot be contacted within 14 days of the Judging Date, or does not respond to the Promoter's notification within 14 days of the date the notification is sent, or is found to be ineligible or in breach of these Terms, the Promoter may, in its reasonable discretion:

(a) forfeit the Winner's entitlement to the Prize; and

(b) select a replacement Winner from the remaining valid Entries by reference to the same Judging Criteria.

8. PRIZE AND NOTIFICATION

8.1 The Prize for the Competition is set out in Item 7 of the Competition Schedule.

8.2 The Promoter will notify each Winner by email and/or telephone, using the contact details provided in the Winner's Entry, within 10 Business Days of the Judging Date.

8.3 The Promoter will publish the first name, last initial, education institution, and State or Territory of residence of each Winner on the Website, the App, and/or the Promoter's social media channels within 14 days of the Judging Date.

8.4 The Winner must claim the Prize within 30 days of the date of the Promoter's notification by responding to the notification email with the requested delivery or redemption details. If the Winner does not claim the Prize within that period, clause 7.5 applies.

8.5 The Prize must be accepted as awarded and is not transferable, assignable, exchangeable, or redeemable for cash (except where the Prize is itself a cash amount).

8.6 Where a Prize becomes unavailable for any reason beyond the Promoter's reasonable control, the Promoter may, subject to any direction or approval required by law, substitute the Prize with a prize of similar or greater value.

8.7 The Winner is solely responsible for any tax (including, without limitation, income tax, GST, and fringe benefits tax) and any other duties, levies, or charges applicable or payable in connection with the acceptance, receipt, or use of the Prize. The Promoter makes no representation as to the tax implications of the Prize and strongly recommends that the Winner obtain independent professional advice before accepting the Prize.

8.8 The Promoter is not responsible for any loss, damage, cost, expense, or injury suffered by the Winner or any other person in connection with the acceptance, redemption, use, or enjoyment of the Prize, subject always to clause 12.1.

9. INTELLECTUAL PROPERTY AND LICENCE

9.1 Subject to clause 9.2, the Entrant retains ownership of all intellectual property rights subsisting in their Entry.

9.2 The Entrant grants the Promoter a non-exclusive, royalty-free, perpetual, irrevocable, worldwide, transferable, and sub-licensable licence to use, reproduce, publish, communicate to the public, broadcast, adapt, modify, translate, and otherwise exploit the Entry, in whole or in part, and in any form or medium (whether now known or later developed), for any purpose connected with the Competition, the Promoter's business, or the Promoter's promotional, marketing, advertising, and publicity activities.

9.3 The Entrant warrants and represents that:

(a) the Entry is the original work of the Entrant and has not been copied (in whole or in part) from any other source;

(b) the Entrant has all rights, consents, and authorisations necessary to grant the licence in clause 9.2;

(c) the use of the Entry by the Promoter as contemplated by these Terms will not infringe any intellectual property rights, moral rights, privacy rights, or any other rights of any third party;

(d) the Entry does not contain any defamatory, obscene, offensive, threatening, harassing, discriminatory, or unlawful content; and

(e) where the Entry includes the image, likeness, voice, name, or identifying information of any person other than the Entrant, the Entrant has obtained that person's prior written consent to the inclusion of that material in the Entry and to the use of the Entry by the Promoter in accordance with clause 9.2.

9.4 The Entrant unconditionally and irrevocably consents, to the extent permitted by law, to any act or omission by the Promoter (or any person authorised by the Promoter) that would otherwise infringe the Entrant's moral rights in the Entry, including the rights of attribution and integrity of authorship.

9.5 The Entrant indemnifies the Promoter and its related bodies corporate, and their respective officers, employees, contractors, and agents, against all loss, damage, cost, expense, and liability (including reasonable legal costs) suffered or incurred by them arising out of, or in connection with, a breach of any warranty in clause 9.3.

10. PRIVACY

10.1 The Promoter collects Personal Information from Entrants for the purposes of conducting the Competition, including verifying eligibility, assessing Entries, contacting Entrants, awarding the Prize, complying with applicable laws, and (where the Entrant has consented) for the Promoter's marketing and promotional activities.

10.2 The Promoter may disclose Personal Information to its related bodies corporate, contractors, service providers, professional advisers, and to government authorities and regulators where required or authorised by law. The Promoter does not generally disclose Personal Information to recipients located outside Australia. Where it does, it will take reasonable steps to ensure that the recipient handles the Personal Information in a manner consistent with the Australian Privacy Principles.

10.3 The Promoter handles Personal Information in accordance with the Privacy Act 1988 (Cth) and the Privacy Policy. The Privacy Policy contains information about how an Entrant may access or correct their Personal Information, and how an Entrant may make a complaint about the handling of their Personal Information.

10.4 By submitting an Entry, the Entrant consents to:

(a) the collection, use, and disclosure of their Personal Information as described in this clause 10 and in the Privacy Policy;

(b) the publication of the Winner's first name, last initial, education institution, and State or Territory of residence in accordance with clause 8.4; and

(c) the use of any images, video, audio, or written content provided by the Entrant (whether as part of the Entry or otherwise in connection with the Competition) for the Promoter's advertising, promotional, and marketing purposes, in accordance with the licence in clause 9.2.

10.5 Where the Entrant elects to receive marketing communications from the Promoter, the Entrant may withdraw that consent at any time by following the unsubscribe instructions in any communication, or by contacting the Promoter at the email address in clause 14.7.

11. PROMOTER'S RIGHTS

11.1 The Promoter may, subject to any direction or approval required by law, vary, suspend, postpone, or terminate the Competition at any time. The Promoter will use reasonable endeavours to provide reasonable notice of any such variation, suspension, postponement, or termination on the Website or via the App.

11.2 The Promoter may, in its reasonable discretion, disqualify any Entrant or Entry where the Promoter reasonably believes that the Entrant has:

(a) breached, or attempted to breach, these Terms;

(b) tampered with, manipulated, or attempted to tamper with or manipulate, the entry process or the operation of the Competition;

(c) used any automated, robotic, scripted, or programmatic method to submit Entries or to influence the outcome of the Competition;

(d) engaged in conduct that is unlawful, fraudulent, deceptive, misleading, or otherwise improper; or

(e) engaged in conduct that brings, or is reasonably likely to bring, the Promoter, the App, or the Competition into disrepute.

11.3 The Promoter's failure to enforce any of its rights under these Terms at any time does not constitute a waiver of those rights.

11.4 Where the Promoter exercises any right under this clause 11, the Promoter is not liable to any Entrant or any other person for any loss, damage, cost, or expense arising out of, or in connection with, the exercise of that right, except to the extent that liability cannot be excluded by law.

12. LIABILITY AND RELEASE

12.1 Nothing in these Terms excludes, restricts, or modifies any guarantee, right, or remedy conferred on the Entrant by the ACL or any other law that cannot lawfully be excluded, restricted, or modified.

12.2 Subject to clause 12.1, and to the maximum extent permitted by law:

(a) the Promoter, its related bodies corporate, and their respective directors, officers, employees, contractors, agents, and judges (Promoter Parties) are not liable for any loss, damage, cost, or expense (whether direct, indirect, consequential, incidental, special, or otherwise, and including any loss of profit, revenue, business opportunity, goodwill, or data) suffered or incurred by any Entrant or any other person in connection with the Competition, an Entry, the Prize, or these Terms;

(b) the Promoter Parties are not liable for any Entry that is lost, late, misdirected, incomplete, illegible, corrupted, delayed, or not received by the Promoter for any reason, including any technical or communications failure; and

(c) the total aggregate liability of the Promoter Parties to any Entrant arising out of, or in connection with, the Competition is limited, at the Promoter's election, to (i) the value of the relevant Prize, or (ii) the resupply of the Prize.

12.3 Each Entrant releases the Promoter Parties from all claims, demands, actions, suits, causes of action, damages, costs, and expenses (including legal costs) arising out of, or in connection with, the Competition, the Entrant's participation in the Competition, the acceptance or use of a Prize, or these Terms, except to the extent caused by the fraud, wilful misconduct, or negligence of a Promoter Party.

12.4 The Promoter Parties are not liable for any personal injury, death, property damage, loss of profits, loss of opportunity, or any other loss or damage suffered by an Entrant or any other person in connection with the acceptance, use, or enjoyment of a Prize, except to the extent caused by the fraud, wilful misconduct, or negligence of a Promoter Party, and subject always to clause 12.1.

13. GOVERNING LAW AND DISPUTES

13.1 These Terms are governed by and construed in accordance with the laws of Victoria, Australia.

13.2 Each Entrant submits to the non-exclusive jurisdiction of the courts of Victoria.

14. GENERAL

14.1 Severability: If any provision of these Terms is held to be invalid, illegal, or unenforceable, that provision is severed and the remainder of these Terms continues in full force and effect.

14.2 Entire agreement: These Terms, together with the Competition Schedule, constitute the entire agreement between the Promoter and each Entrant in relation to the Competition, and supersede all prior representations, communications, understandings, and agreements (whether oral or in writing) in connection with the Competition.

14.3 Variation: The Promoter may vary these Terms before the Entry Period opens by posting an updated version on the Website. After the Entry Period opens, the Promoter may vary these Terms only where the variation is required by law or is necessary for reasons beyond the Promoter's reasonable control, and only in a manner that does not materially disadvantage Entrants, with notice published in the same manner as these Terms. The version of the Terms in force at the time the Entrant submits an Entry applies to that Entry.

14.4 Notices: Any notice given by the Promoter to an Entrant under these Terms may be given by email to the email address provided by the Entrant in their Entry, or by such other method as the Promoter reasonably determines.

14.5 No agency or partnership: Nothing in these Terms creates any agency, partnership, joint venture, employment, or fiduciary relationship between the Promoter and any Entrant.

14.6 Force majeure: Where the Promoter is prevented from, or delayed in, performing any of its obligations under these Terms (including conducting or completing the Competition, or awarding the Prize) by reason of any act, event, or circumstance beyond its reasonable control (including any natural disaster, fire, flood, storm, epidemic, pandemic, public health order, act of terrorism, civil unrest, war, strike, lockout, industrial action, communications or utility failure, cyber attack, or act of any government authority), the Promoter is not liable for that non-performance or delay, and the Promoter may (subject to any direction or approval required by law) vary, suspend, postpone, or terminate the Competition in accordance with clause 11.1.

15. PLATFORM DISCLAIMERS

15.1 The Competition is in no way sponsored, endorsed, administered by, or associated with Meta Platforms, Inc., Facebook, or Instagram. Each Entrant releases Meta Platforms, Inc. from all liability in connection with the Competition. Any information provided by an Entrant is provided to the Promoter and not to Meta.

15.2 The Competition is in no way sponsored, endorsed, administered by, or associated with TikTok Pte. Ltd. or its related entities. Each Entrant releases TikTok from all liability in connection with the Competition.

15.3 The Competition is in no way sponsored, endorsed, administered by, or associated with Apple Inc. or Google LLC. Neither Apple nor Google is a sponsor of, or responsible for, the Competition or any Prize.

15.4 Entry into the Competition must not be conditioned on liking, sharing, following, tagging, reposting, or any other social media engagement mechanic.

COMPETITION SCHEDULE

This Schedule sets out the specific details of the Competition. It must be read together with the Terms and Conditions, and the items in this Schedule form part of, and are incorporated by reference into, those Terms and Conditions. Complete every Item before these Terms are published. All dates and times are Melbourne time.

(v) Ability and potential to build publicly and promote their business (20%)
11Judging PanelAt least two representatives of the Promoter, and may include independent judges appointed by the Promoter.
12Additional Eligibility RequirementsEntrants must be Paid Subscribers at the time of entry and at the time the Prize is awarded. Users on the free tier of the App are not eligible to enter or win. Subscription status does not affect the assessment of any Entry; Winners are selected solely on the merit of their Entry against the Judging Criteria.
