PROMOTION TERMS AND CONDITIONS

BACKGROUND
(A) These Terms and Conditions (Terms) govern participation in the games of chance promotion described in the Schedule (Promotion), conducted by WolfX App Pty Ltd ACN 694 194 655 ABN 23 694 194 655,trading as WolfX, of Level 10, 369 Royal Parade, Parkville, VIC 3052 (Promoter, we, us, our). By entering the Promotion, you (the Entrant) agree to be bound by these Terms.
(B) The Promoter operates the WolfX mobile application, a study and campus-life platform for Australian university students (the Business). Information about the Promoter and the Business is available at wolfxapp.com.
(C) The Promotion is a game of chance conducted to promote the Business. Winners are determined by random draw and every valid entry has an equal chance of winning. Entry is free: no purchase or payment of any kind is necessary to enter, and no payment will improve an Entrant's chance of winning. The Promotion may be conducted nationally or in a single state or territory, as set out in Item 4. The total prize pool does not exceed the amount above which a trade promotion permit or licence would be required in the place or places in which the Promotion is conducted, as set out in Items 4 and 11, so no permit or licence is required. The Promotion is not a game of skill, a paid lottery, or any form of gambling.
OPERATIVE PROVISIONS
1. Definitions and interpretation
Definitions
| ACL | means the Australian Consumer Law in Schedule 2 to the Competition and Consumer Act 2010 (Cth). |

| Business | means the app, product, or business operated by the Promoter, as described in Recital (B). |
| Business Day | means a day that is not a Saturday, Sunday, or public holiday in Melbourne, Victoria. |
| Entrant | means a person who enters, or seeks to enter, the Promotion. |
| Entrant Database | means the record of valid entries for an Event Day maintained by the Promoter, compiled from the registrations completed at the WolfX stall on that Event Day. |
| Personal Information | has the meaning given in the Privacy Act 1988 (Cth). |
| Prize | means a prize offered under the Promotion, as described in Item 10 of the Schedule. |
| Promotion | means the game of chance promotion conducted by the Promoter on these Terms. |
| Promotion Period | means the period set out in Item 6 of the Schedule during which the Promotion is open. |
| Schedule | means the Schedule to these Terms, which forms part of and is incorporated into these Terms. |
| Terms | means these terms and conditions, including the Schedule. |
| Total Prize Pool | means the total value of all Prizes, as set out in Item 11 of the Schedule, being an amount within the permit-free threshold for the place in which the Promotion is conducted. |
| Winner | means an Entrant whose entry is drawn and confirmed in accordance with clause 7. |
Interpretation

In these Terms, unless the context requires otherwise:

headings are for convenience only and do not affect interpretation;
-
words importing the singular include the plural and vice versa;
-
a reference to a person includes a natural person, body corporate, partnership, trust, and any other legal entity;
-
a reference to legislation includes any amendment, re-enactment, or replacement of that legislation;
-
a reference to a dollar amount, AUD$ or $ is to Australian dollars;
-
a reference to time is to time in Melbourne, Victoria, being Australian Eastern Standard Time or Australian Eastern Daylight Time, as applicable; and
-
a reference to including or such as is not a word of limitation.

2. Nature of the Promotion
-
The Promotion is a game of chance. The Winner or Winners are determined by random draw in accordance with clause 7, and every valid entry has an equal chance of being drawn. Entries are not judged, assessed, or ranked on merit or skill. A separate random draw is conducted after the close of each Event Day, and one Prize is awarded for each Event Day.

Entry to the Promotion is free. No purchase, payment, subscription fee, or other consideration is required to enter, and no payment will improve an Entrant's chance of winning. Where the Schedule requires an Entrant to hold or register for an account or subscription, that is an eligibility step only and any free tier is sufficient; it is not a purchase of, or payment for, an entry.

The total value of all Prizes offered under the Promotion, being the Total Prize Pool, does not exceed the amount above which a trade promotion permit, licence, or authority would be required in the state or territory, or (where the Promotion is conducted nationally) in every state and territory, in which the Promotion is conducted, as set out in Items 4 and 11. The Promotion is structured so that no such permit, licence, or authority is required.

The Promotion is not a game of skill, a paid lottery, a sweepstake with paid entry, or any form of gambling or wagering.
3. Promotion Period

The Promotion opens and closes on the dates and at the times set out in Item 6 of the Schedule (the Promotion Period). Entries received before the Promotion opens or after it closes will not be valid or included in the draw.

The Promoter may, subject to any direction or approval required by law, shorten, extend, suspend, or reschedule the Promotion Period, and will take reasonable steps to publish any change at the venue or on the Website.
4. Eligibility

Subject to this clause 4, entry is open to natural persons who, at the time of entry:
-
are aged 18 years or over, or such other minimum age as is set out in Item 7 of the Schedule;
-
are residents of the state or states, or territory or territories, in which the Promotion is conducted, as set out in Item 4 of the Schedule; and
-
satisfy any additional eligibility requirements set out in Item 7 of the Schedule.

The following persons are not eligible to enter: directors, officers, and employees of the Promoter and of its related bodies corporate, as defined in the Corporations Act 2001 (Cth); the agencies, suppliers, and other parties associated with the Promotion; and the immediate families of those people. Immediate family means a spouse, de facto partner, parent, child, sibling, grandparent, or grandchild.

The Promoter may require an Entrant or Winner to provide proof of their identity, age, and place of residence, and to verify that their entry complies with these Terms. If an Entrant does not provide that evidence to the Promoter's reasonable satisfaction within the time required, which will not be less than 5 Business Days, the Promoter may, acting reasonably, treat the entry as invalid and disqualify the Entrant.
5. How to enter

To enter the Promotion, an Entrant must, during the Promotion Period, attend the venue or event specified in Item 8 of the Schedule and complete the entry steps set out in that Item, for example registering at the entry point, and provide the information reasonably required by the Promoter to verify eligibility and contact the Entrant, which may include the Entrant's full name, phone number, and email address.

An entry is deemed to be received at the time it is recorded in the Entrant Database, not at the time the Entrant completes the registration. The Promoter is not responsible, and is not liable, for any entry that is incomplete, illegible, lost, damaged, or not successfully recorded in the Entrant Database, including because of any technical or connectivity failure at the venue.

Where Item 8 of the Schedule requires a Winner to be present at the venue at the time of the draw, an Entrant who is drawn but not present may forfeit the Prize, and the Promoter may draw a replacement Winner in accordance with clause 7. Item 8 does not require a Winner to be present at the time of the draw for this Promotion.

Each Entrant may enter up to the maximum number of entries set out in Item 9 of the Schedule. Using automated, scripted, or robotic means, or any other method to enter multiple times in breach of Item 9, is not permitted, and all of that Entrant's entries will be invalid.

Incomplete or ineligible entries, and entries that breach these Terms or any content guidelines set by the Promoter, are not valid. The Promoter may, at any time, verify the validity of entries and Entrants and disqualify any Entrant or Winner who does not comply with these Terms.
6. Entrant content

This clause 6 applies only where Item 8 of the Schedule requires an Entrant to submit any content as part of entry, such as a photo, video, image, comment, statement, or other material (Content).

Each Entrant represents and warrants that their Content is their own original work, does not infringe the rights, including intellectual property rights, of any person, contains no unlawful, misleading, offensive, or harmful material, and has not previously won a prize in another promotion.

Each Entrant grants the Promoter an irrevocable, perpetual, royalty-free, worldwide, sublicensable, and transferable licence to use, reproduce, publish, adapt, and communicate the Content for any purpose connected with the Promotion or the Business, including advertising and marketing, without further compensation or notice. To the extent permitted by law, each Entrant consents to any act or omission that would otherwise infringe their moral rights in the Content.

The Promoter may remove, decline to publish, or refuse to accept any Content, and may disqualify the relevant Entrant, where the Promoter reasonably considers the Content breaches these Terms.
7. The draw

The draw to determine the Winner or Winners will be conducted at the date, time, place, and by the method set out in Item 12 of the Schedule (the Draw Details). The draw will be conducted so that each valid entry has an equal chance of being selected. Where the draw is conducted electronically, it will use a random number generator. A separate draw is conducted for each Event Day, from the valid entries recorded in the Entrant Database for that Event Day only. Entries recorded on one Event Day are not carried into the draw for any other Event Day.

The Promoter's decision in connection with the draw and the conduct of the Promotion is final. The Promoter will not enter into correspondence with any Entrant about the result.

If a drawn entry is found to be invalid, or a drawn Entrant is found to be ineligible or in breach of these Terms, the Promoter may declare that entry invalid and draw a replacement Winner in accordance with the Draw Details, subject to any direction of a regulatory authority.
8. Notification of Winners

Each Winner will be notified using the contact details provided at entry, by the method and within the time set out in Item 13 of the Schedule and, unless stated otherwise, no later than 2 Business Days after the draw.

It is the Entrant's responsibility to provide accurate contact details and to monitor those details. The Promoter is not liable for any failure to contact a Winner because of incorrect, incomplete, or unmonitored contact details.
9. Publication and publicity

Where Item 14 of the Schedule requires it, the Promoter may publish each Winner's first name, surname or initial, and town or city of residence at the venue, on the Website, in the App, and on the Promoter's social media channels for a period of up to 28 days, for the purpose of identifying the Winner. It is a condition of entry that each Winner consents to that publication.

By entering, each Entrant consents to the Promoter using the Entrant's name and, if the Entrant is a Winner, the Winner's likeness, in connection with the Promotion, provided the Promoter obtains the Winner's separate consent before using any photograph, film, or recording of the Winner in advertising.
10. Prizes

The Prize or Prizes are described in Item 10 of the Schedule. The Total Prize Pool is set out in Item 11 of the Schedule and does not exceed AUD$3,000. Where more than one Prize is offered, an Entrant may win only one Prize unless Item 10 states otherwise.

Unless the Schedule states otherwise, a Prize is not transferable, not assignable, and not redeemable for cash.

If a Prize, or any part of it, becomes unavailable for reasons beyond the Promoter's reasonable control, the Promoter may, subject to any direction or approval required by law, substitute a prize of equal or greater value and equivalent specification.

The following conditions apply to particular kinds of Prize, where relevant to the Prize described in Item 10. Delete any that do not apply:

Cash: where cash is awarded, it will be paid by electronic funds transfer to the Winner's nominated Australian bank account.

Gift card or store credit: a gift card or store credit is redeemable only with the issuing retailer, is subject to that retailer's terms, is not redeemable for cash, and is valid only until the expiry date shown on it. The Promoter is not a party to, and is not responsible for, any transaction between the Winner and the issuing retailer.

Event or experience: where a Prize includes attendance at an event or experience and that event is cancelled, postponed, or abandoned, the Winner forfeits the relevant part of the Prize and no cash or alternative will be substituted.

Higher-risk prizes: where a Prize involves travel, a motor vehicle, or any activity carrying physical risk, additional conditions and a signed release may be required, and the Promoter recommends obtaining legal advice before offering such a Prize under this template.

11. Claiming and delivery of Prizes

A Winner must claim their Prize by the date and in the manner set out in Item 15 of the Schedule (the Redemption Date). A Prize that is not claimed by the Redemption Date, or where the Winner cannot be contacted or is found to be ineligible, may be treated as forfeited.

Where a Prize remains unclaimed, the Promoter may conduct an unclaimed prize redraw in accordance with Item 16 of the Schedule, subject to any direction of a regulatory authority, and will notify any replacement Winner in the same way as the original Winner.

The Promoter will deliver or make the Prize available for collection by the method and within the timeframe set out in Item 17 of the Schedule, within Australia only. The Promoter is not liable for any delay in delivery caused by circumstances beyond its reasonable control. Risk in a Prize passes to the Winner on delivery or collection.

Each Entrant is responsible for their own costs of entering the Promotion and of accessing, claiming, and using a Prize, unless the Schedule states otherwise. The Winner is responsible for any tax payable in connection with a Prize, and the Promoter makes no representation about the tax treatment of any Prize.
12. Privacy

The Promoter collects Personal Information from Entrants to conduct the Promotion, including to verify eligibility, contact and identify Winners, deliver Prizes, comply with the law, and, where the Entrant has consented, for the Promoter's marketing.

The Promoter may disclose Personal Information to its related bodies corporate, contractors, service providers, prize suppliers, professional advisers, and regulatory authorities where required or authorised by law. The Promoter handles Personal Information in accordance with the Privacy Act 1988 (Cth) and its privacy policy, linked in Item 18 of the Schedule.

By entering, the Entrant consents to the collection, use, and disclosure of their Personal Information as described in this clause 12 and the Promoter's privacy policy. An Entrant may withdraw consent to marketing at any time using the unsubscribe function or by contacting the Promoter at the email in Item 19 of the Schedule.
13. Liability and release

Nothing in these Terms excludes, restricts, or modifies any guarantee, right, or remedy conferred by the ACL or any other law that cannot lawfully be excluded (the Non-Excludable Guarantees).

Subject to the Non-Excludable Guarantees, and to the maximum extent permitted by law, the Promoter, its related bodies corporate, and their respective directors, officers, employees, contractors, and agents (the Promoter Parties) are not liable for any loss, damage, cost, or expense, whether direct, indirect, or consequential, and including loss of profit, opportunity, or data, suffered or incurred by any person in connection with the Promotion, an entry, a Prize, or these Terms.

Subject to the Non-Excludable Guarantees, the total aggregate liability of the Promoter Parties to any Entrant in connection with the Promotion is limited, at the Promoter's election, to the value of the relevant Prize or its resupply.

To the maximum extent permitted by law, each Entrant releases the Promoter Parties from all claims arising out of the Promotion, the Entrant's participation, or the acceptance or use of a Prize, except to the extent caused by the fraud, wilful misconduct, or negligence of a Promoter Party.
14. Promoter's rights and general conduct

If for any reason the Promotion cannot run as planned, including because of infection by computer virus, tampering, unauthorised intervention, fraud, technical failure, or any cause beyond the Promoter's reasonable control, the Promoter may, subject to any direction or approval required by law, cancel, terminate, modify, or suspend the Promotion and invalidate any affected entries.

The Promoter may disqualify any Entrant who tampers with the entry process, acts unlawfully or in bad faith, or who the Promoter reasonably believes has breached these Terms or brought, or is likely to bring, the Promoter or the Business into disrepute.

The Promoter's failure to enforce any right under these Terms is not a waiver of that right.
15. Governing law and disputes

These Terms are governed by the laws of Victoria, Australia, and each Entrant submits to the non-exclusive jurisdiction of the courts of Victoria.

In the event of a dispute, the Entrant must first contact the Promoter and attempt to resolve the dispute in good faith before commencing any proceedings.
16. General
-
Severability: if any provision of these Terms is invalid or unenforceable, it is severed and the remainder continues in full force.

Entire agreement: these Terms, together with the Schedule, are the entire agreement between the Promoter and each Entrant about the Promotion.
-
Currency: unless stated otherwise, all references to dollars or $ in these Terms or in any Promotion advertising are to Australian dollars.

Notices: the Promoter may give a notice to an Entrant by email to the address provided at entry, or by any other reasonable method.

No agency or partnership: nothing in these Terms creates any agency, partnership, joint venture, or employment relationship between the Promoter and any Entrant.
-
Force majeure: the Promoter is not liable for any delay or failure to perform its obligations caused by an event beyond its reasonable control, including natural disaster, fire, flood, storm, epidemic, pandemic, public health order, act of terrorism, civil unrest, war, industrial action, utility or communications failure, or cyber attack.
17. Social media and platform disclaimers

Where the Promotion is conducted or promoted through a social media or third-party platform, the Promotion is in no way sponsored, endorsed, administered by, or associated with that platform, including Meta Platforms, Inc., Facebook, Instagram, TikTok, Apple Inc., or Google LLC. Each Entrant releases each such platform from all liability in connection with the Promotion.

Any information an Entrant provides in connection with the Promotion is provided to the Promoter and not to any platform. Use of any platform is subject to that platform's own terms and its promotions policies.

Promotion Schedule (Key Terms)
This Schedule sets out the particulars of the Promotion and forms part of these Terms. Complete every Item highlighted in yellow before the Terms are published. All dates and times are Melbourne time. Confirm that the Total Prize Pool in Item 11 is at or under the permit-free threshold for the location in Item 4 before publishing.
